  1. OWNERSHIP OF SITE; AGREEMENT TO TERMS OF USE

 

These Terms of Use (the “Terms”) apply to the BRANDME web site located at www.brandme.la, and all associated sites linked thereto by BRANDME CROWDMARKETING SAPI DE CV. (“BRANDME”), its subsidiaries, and affiliates (the “Site(s)”). BRANDME owns and operates the Sites as well as numerous other web sites, including crowdmarketingout of home , get a home and openverse, access to which is made available under these Terms and the Privacy Notice.

IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE OR ACCESS THE SITES. These Terms set out the legally binding terms for use of BRANDME’s Sites and Services. Users indicate acceptance of the Terms and all the terms and conditions contained or referenced in these Terms by browsing the Site(s), creating an account, or otherwise accessing the Services. BRANDME reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms, at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Sites following the posting of changes will mean that you accept and agree to the changes. Provided you comply with these Terms, BRANDME grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Sites.

 

  1. CONTENT

All graphics, logos, designs, page headers, button icons, scripts, and service names appearing on the Sites are registered and unregistered service marks, trademarks, trade names, or trade dress of BRANDME or its subsidiaries and affiliates in México and other countries (collectively, “trademarks”). BRANDME’s trademarks and any images, avatars, or icons available on our Sites may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service, or in any commercial manner, without prior written approval. The only exception to the foregoing is usage solely in connection with journalistic promotion of our services. Nothing on these sites shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed thereon without the owner’s prior written permission, except as otherwise described herein. All proprietary rights and goodwill in BRANDME’s trademarks and other intellectual property shall inure to the benefit of BRANDME. The Sites and all of their content, including but not limited to text, design, graphics, interfaces and code, and the selection and arrangement thereof, is protected as a compilation under the copyright laws of the México and other countries. BRANDME reserves all rights not expressly granted in and to the sites and their content.

The Sites may feature, display, or utilize certain images, logos, or other materials that are copyrighted and/or trademarked by third parties. BRANDME’s usage of these copyrights and trademarks is governed by applicable fair use laws, and BRANDME does not claim to own any interest in such intellectual property, which proprietary rights and goodwill shall inure to the benefit of its owners.

 

  1. ELIGIBILITY

You must be an adult (as defined by the jurisdiction in which you reside) to access the Sites and its features. Authorized agents may create accounts, with proof of authorization from the individual on whose behalf the account is created, and both the agent and the individual will be deemed bound by these Terms of Service. By registering for an account, you are representing and warranting that all information you submit is truthful and accurate, and that you agree to maintain the accuracy of such information. You understand and agree that BRANDME will use the information you provide in accordance with the terms of the Privacy Notice, which is integrated into and included as part of these Terms. BRANDME accounts are not transferable, assignable or resalable under any circumstances.

 

  1. PROVISION OF SERVICES

BRANDME is constantly innovating and changing its offerings to provide the best possible experience for its users. Users of its Site(s) acknowledge and agree that, without prior notice to you, (i) the form and nature of the Services which BRANDME provides may change from time to time, and (ii) BRANDME may stop (permanently or temporarily) providing some or all of the services or features of the Site(s) to users generally at BRANDME’s sole discretion. BRANDME may terminate the relationship covered by these Terms and/or a User’s participation in the Service at any time, for any reason or for no reason, and BRANDME shall not have any liability regarding such decisions. Those sections of these Terms which would typically survive, shall survive any termination of these Terms. In addition, BRANDME has the ability to (i) modify user, account, or organization permissions at any level to add or remove users, or make any other changes as otherwise deemed reasonably necessary in the provision of services; and (ii) assume a user’s account for the purposes of troubleshooting and resolving issues.

 

  1. THIRD PARTY WEBSITES AND SERVICES

Users may, from time to time, connect accounts or content from third party websites to their account(s) via the Site(s). By doing so, users consent to the release of user information on BRANDME to those third parties, in accordance with the policies of those third parties. Users also consent to the release of user information on those third parties to BRANDME, in accordance with BRANDME’s Privacy Notice, and to BRANDME sharing user information with third parties that BRANDME has contracted with to provide services or functionalities on behalf of Users. In addition, the Sites may contain links to other independent third-party web sites. Such third-party sites are not under BRANDME’s control and as such BRANDME is not responsible for any content, information, or materials provided on such sites.

  1. REPRESENTATIONS AND WARRANTIES

Each user of the Site(s) represents, warrants, and covenants that (i) you have sufficient authority to enter into the Agreement; (ii) your use of BRANDME’s services is solely for lawful commercial and business purposes; (iii) the links contained in any content are directed to the intended and agreed upon destination and are not redirected; (iv) you will not engage or cause others to engage in any form of spamming or improper or malicious, as determined by BRANDME, clicking, impression or marketing activities through the Site(s), and you will comply with all applicable laws including complying with all applicable laws such as the CAN-SPAM Act of 2003; and (iv) you have the necessary rights to provide all information provided to the Site(s) (including all content, data, claims, statements, products and services, casting calls, contacts, titles, URLs and descriptions) for use as described in these Terms (the “Information”).

Users shall further represent, warrant and covenant that all such Information does not and will not: (a) violate any law, statute, ordinance, treaty or regulation or BRANDME policy or guideline; (b) infringe any copyright, patent, trademark, trade secret, trade dress, or other intellectual property right of any third party; (c) breach any duty toward or rights of any person or entity including rights of publicity or privacy, and have not otherwise resulted in or are not likely to result in any consumer fraud, product liability, tort, breach of contract, injury, damage or harm of any kind to any person or entity; (d) advertise any unlawful product or service or unlawful sale of any product or service. Each user who is deemed a “Marketer” on the relevant Sites further represents that (i) it has a reasonable basis for all claims made within its advertising and possesses appropriate documentation to substantiate such claims; (ii) it will comply with the applicable Master Service Agreement (if applicable); (iii) the landing page for any links (i.e., the Marketer’s website page where a consumer is directed when the consumer clicks on the link, fills in a registration form or takes a similar action) contains a prominent link to Marketer’s privacy policy, which policy provides, at a minimum, adequate notice, disclosure and choices to consumers regarding Marketer’s use, collection and disclosure of their personal information; and (iv) prior to loading any computer program onto an individual’s computer, including without limitation programs commonly referred to as spyware but excluding cookies (provided that cookies are disclosed in Marketer’s privacy policy), Marketer shall provide notice to and shall obtain the express consent of such individual. Additionally, Users acknowledge and agree that all Information will (i) not be false, misrepresentative, deceptive or misleading; (ii) not be defamatory, libelous, slanderous, obscene or threatening; (iii) not target children under the age of thirteen (13), (iv) be free of viruses, Trojan horses, trap doors, back doors, Easter eggs, worms, time bombs, cancelbots or other computer programming routines that may potentially damage, interfere with, intercept, or expropriate any system data or personal information.

 

  1. WARRANTY DISCLAIMER

USERS EXPRESSLY AGREE THAT THE SERVICES ARE AVAILABLE ON AN “AS IS” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND THAT YOUR USE THEREOF IS AT YOUR OWN RISK. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, BRANDME DISCLAIMS TO THE MAXIMUM EXTENT PERMITTED BY LAW ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY (i) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, (ii) WARRANTIES AGAINST INFRINGEMENT OF ANY THIRD PARTY INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS, (iii) WARRANTIES RELATING TO DELAYS, INTERRUPTIONS, ERRORS, OR OMISSIONS IN THE SERVICE OR BRANDME SITES, OR ANY PART THEREOF, (iv) WARRANTIES RELATING TO THE TRANSMISSION OR DELIVERY OF THE SERVICE OR THE BRANDME SITES, (v) WARRANTIES RELATING TO THE ACCURACY OR CORRECTNESS OF DATA, ACCURACY OF COMMUNICATIONS, AND ANY OTHER WARRANTIES OTHERWISE RELATING TO PERFORMANCE, NONPERFORMANCE, OR OTHER ACTS OR OMISSIONS BY BRANDME. FURTHER, AND WITHOUT LIMITING THE GENERALITY OF ANY OF THE FOREGOING, THERE IS NO WARRANTY THAT THE SERVICE OR THE BRANDME SITES WILL MEET YOUR NEEDS OR REQUIREMENTS OR THE NEEDS OR REQUIREMENTS OF ANY OTHER PERSON. IN ADDITION, YOU ACKNOWLEDGE AND AGREE THAT BRANDME’S WARRANTY DOES NOT COVER TELECOMMUNICATIONS OR INTERNET OUTAGES CAUSED BY THIRD PARTIES OR OTHERWISE OUTSIDE OF BRANDME’S CONTROL. SERVICES MAY BE LIMITED BY MANY FACTORS, INCLUDING INHERENT RISKS OF THE INTERNET.

BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN CATEGORIES OF DAMAGES OR IMPLIED WARRANTIES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, BRANDME’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

  1. LIMITATION OF LIABILITY

ANY LIABILITY OF BRANDME TO A SITE USER IN CONNECTION WITH THESE TERMS, REGARDLESS OF THE CAUSE OR FORM OF ACTION, SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY SUCH USER DIRECTLY TO BRANDME FOR THE SERVICES PROVIDED IN CONNECTION WITH THE CLAIM. IN NO EVENT SHALL BRANDME OR ANY BRANDME ENTITY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, ARISING OUT OF, OR IN CONNECTION WITH, THESE TERMS. THE SITE USER AGREES THAT IT WILL NOT HOLD BRANDME RESPONSIBLE FOR THE SELECTION OR RETENTION OF, OR ANY ACTS, ERRORS, OR OMISSIONS BY, ANY THIRD PARTY IN CONNECTION WITH THESE TERMS, REGARDLESS OF THE INTENT OF SUCH THIRD PARTY.

THE FOREGOING LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE STRICT LIABILITY OR ANY OTHER BASIS, EVEN IF BRANDME OR ITS AFFILIATES OR ANY OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, BRANDME’S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

  1. INDEMNIFICATION

Users of the Site(s) agree to indemnify, defend, and hold harmless BRANDME, its subsidiaries and affiliates, and its and their employees, officers, and directors (each, an “BRANDME Entity” and collectively, the “BRANDME Entities”), and each BRANDME Entity’s licensors, organizations, licensees, consultants, contractors, agents, attorneys, owners, third party service providers and authorized third parties from and against any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees (collectively, “Claim(s)”), that actually or allegedly arise out of or result from information or materials provided, use of the Site(s) or the Platform(s) or your breach of these Terms. You agree to be solely responsible for defending any Claim against or suffered by BRANDME and/ or any BRANDME Entity, subject to BRANDME and/or the BRANDME Entity’s right to participate with counsel of its own choosing, and for payment of damages or losses resulting from all claims against BRANDME, and/or any BRANDME Entity provided that you will not agree to any settlement that imposes any obligation or liability on BRANDME and/or an BRANDME Entity without BRANDME’s prior express written consent.

 

  1. NOTICES

BRANDME may give general notices to parties by posting on its Sites, or by electronic mail to the e-mail address provided by a User to BRANDME. It is the party’s responsibility to ensure that their e-mail address and any other contact information provided to BRANDME is updated, current and correct. It is a User’s responsibility to also check these Terms to see if there has been a modification.   1. CLAIMS OF COPYRIGHT INFRINGEMENT

Claims of Copyright Infringement

We respect the intellectual property of others, and we ask our contributors and those utilizing Marketplace to do the same. If you believe that your copyrighted work has been copied and is accessible on this site in a way that constitutes copyright infringement, you may notify us by providing our copyright agent with the following information:

  • The electronic or physical signature of the owner of the copyright or the person authorized to act on the owner’s behalf.
  • A description of the copyrighted work that you claim has been infringed and a description of the infringing activity.
  • Identification of the location where the original or an authorized copy of the copyrighted work exists, for example the URL of the website where it is posted or the name of the book in which it has been published.
  • Identification of the URL or other specific location on the Sites where the material that you claim is infringing is located; you must include enough information to allow us to locate the material.
  • Your name, address, telephone number, and email address.
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf.

  1. GOVERNING LAW; DISPUTE RESOLUTION

These Terms shall be governed by and interpreted under the laws of Ciudad de México, México. without regard to its conflicts of laws provisions. Users agree to submit to the exclusive jurisdiction of the state and federal courts located in Delegación Miguel Hidalgo, Ciudad de México, México. Any claim against BRANDME arising from the Terms shall be adjudicated on an individual basis, and shall not be consolidated in any proceeding with any claim or controversy of any other party. Users further agree that, to the extent allowed by applicable law, (i) any and all disputes, claims, and causes of action arising out of or in connection with the Terms, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, but in no event attorney’s fees; and (iii) under no circumstances will Users be permitted to obtain any award for, and Users hereby waive all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses.

  1. MISCELLANEOUS

The Terms constitute the entire terms of service and understanding between the parties regarding the subject matter contained herein and supersedes all previous and contemporaneous terms of service, agreements, proposals and communications in all forms of media (including all instructions, advertisements, messages and policies), written and oral, between any party and BRANDME regarding the subject matter contained herein. Only a written instrument executed by the party waiving compliance may waive the terms or covenants of the Terms. No waiver by either party of a breach of any provision hereof shall be taken or held to be a waiver of any succeeding breach of such provision or as a waiver of the provision itself. If any provision of the Terms is held or made invalid or unenforceable for any reason, such invalidity shall not affect the remainder of the Terms, and the invalid or unenforceable provisions shall be replaced by a mutually acceptable provision, which being valid, legal and enforceable comes closest to the original intentions of the parties to the Terms and has like economic effect. BRANDME shall have no liability under the Terms by reason of any failure or delay in the performance of its obligations on account of strikes, shortages, riots, acts of terrorism, insurrection, fires, flood, storm, explosions, earthquakes, Internet outages, computer virus, Acts of God, war, governmental action, or any other cause that is beyond its reasonable control. The parties are independent contractors and nothing in the Terms shall be construed to create, evidence, or imply any agency, employment, business relationship, or joint venture between the parties. Site Users are not employees of BRANDME. Neither BRANDME nor a Site User shall have any right, power, or authority to create any obligation or responsibility on behalf of the other party. The Terms are not intended to benefit, nor shall it be deemed to give rise to any rights in, any third party. Users may not assign or transfer the Terms, or sublicense, assign or delegate any right or duty under the Terms without BRANDME’s prior written consent. Any assignment, transfer or attempted assignment or transfer in violation of this Section shall be void and of no force and effect. BRANDME and its subsequent assignees may assign the Terms, in whole or in part, or any of its rights or delegate any of its duties, under the Terms to any party. Any rights not expressly granted in the Terms are reserved by BRANDME, and all implied licenses are disclaimed. Headings used in the Terms are for reference purposes only and in no way affect the Terms. The term “including” is a term of enlargement meaning “including without limitation,” and does not denote exclusivity. BRANDME may change the Terms and/or the Privacy Notice at any time upon notice published on its Site(s). Any use by a Site User, their affiliates, agents, representatives, employees, or any person or entity acting on their behalf, of the Service after such notice shall be deemed to be continued acceptance by them of the Terms and Privacy Notice, including any amendments and modifications thereto. All information or material in connection with a Service must be submitted in the form requested by BRANDME. BRANDME reserves the right to discontinue offering, and/or modify the Services at any time. Except as otherwise specified by BRANDME, parties agree that they will direct all communications relating to the Service or their participation therein directly to BRANDME and not to any other entity. The organization, specifications, structure or appearance of any BRANDME property or any page where a party’s information (including listings) may be displayed may be redesigned or modified at any time.

  1. Introduction

BRANDME CROWDMARKETING SAPI DE CV. (“BRANDME”) owns and operates The Creator MarketplaceⓇ platform (the “Marketplace”), an online marketplace that connects Buyers (as defined below) with Sellers (as defined below), hosted and operated by BRANDME, and other BRANDME platform services (the “Sites”).

Utilization of Marketplace is made available under these Terms of Service (“Terms”) and the Privacy Notice (“Privacy Notice”) as well as the BRANDME Terms of Use. Each time you access Marketplace, you should check the date of these Terms (which appears at the top of this document) and review any changes since the last version, which will govern your use. If you do not agree to these Terms, please do not use Marketplace.

 

Upon connecting social media channels to your account, you are also agreeing to be bound by the following, as applicable to the connected channel: BeReal’s Terms of Use and Privacy Policy; Clubhouse’s Terms of Services and Privacy Policy; Facebook’s TOS and Privacy Policies; Flickr’s TOS and Privacy PolicyGoogle Privacy Policy (as well as Google’s security revocation site, Google Security Settings); Instagram’s TOS and Privacy Policy; LinkedIn’s User Agreement and Privacy Policy; Pinterest’s TOS and Privacy Policy; Reddit’s User Agreement and Privacy Policy; SnapChat’s Terms of Service and Privacy Policy; Tik Tok’s Terms of Service and Privacy Policy; Twitch’s TOS and Privacy Notice; Twitter’s TOS and Privacy PolicyYouTube TOS; and Zoom’s Terms of Services and Privacy Statement. To the extent that you connect with metaverse sites, you also agree to be bound by the terms of such platforms, including: Decentraland’s Terms of Use and Privacy Policy; Meta Supplemental Terms of Service and Privacy Policy; Minecraft Terms and Privacy Statement; and Roblox Terms of Use and Privacy and Cookie Policy.

Except for terms pertaining to BRANDME’s rights or services, to the extent any terms herein conflict with negotiated agreements between two parties using the features made available on the Sites, the negotiated language controls.

We may collect information to include your name, company name, email address, mailing address, and other information you provide when engaging on our site or with our chat bot. These interactions are subject to our Privacy Notice. By carrying on a conversation with our chat bot, you consent to receiving communications from the bot and to the processing of your conversation via Hubspot in accordance with any terms of use or privacy notice that may apply in connection with that platform. Because our chat bot utilizes artificial intelligence to communicate with you, it may provide information that is an inaccurate response to your requests in its interactions with you. You agree that BRANDME shall not be liable to you or any third party for the chat bot providing inaccurate information to you.

1.1. Definitions

In the Terms, (i) a “Buyer” means any person, entity, or authorized representative with permission to access Marketplace directly or on behalf of Buyer for the purpose of purchasing services in Marketplace, (ii) “Seller” means any authorized person or entity with an account on the Site that directly or indirectly offers services for sale in Marketplace. With regard to influencer marketing services, (iii) a “Listing” is a post made by a Seller to advertise its goods or services to a Buyer. In addition, a (iv) “Creator” means any person, entity or group that creates and distributes the original content or sponsored social content, and/or performs an action, including but not limited to content posted through their associated social networks (i.e. TikTok, Instagram, Facebook, Snapchat, blogs, etc.), requested via the Marketplace, and receives compensation for such content or action via the Marketplace; (v) a “Marketer” means any person or entity who participates in the Marketplace Services directly or by BRANDME authorized personnel on behalf of Marketer for the purpose of creating Casting Calls to use the services of a Creator; and (vi) a “Casting Call” means a request by a Marketer for a Creator to pitch its services to create content, distribute sponsored social content, and/or perform an action through their social network or in person in exchange for compensation (i.e. cash, event access, free products, publicity, etc.), if selected by a Marketer.

  1. Eligibility

You must be a Buyer, Seller, or an authorized representative of a Buyer or Seller to register to use Marketplace. To create an account, you must be over the age of eighteen (18) years old. Authorized agents may create accounts, with proof of authorization from the individual on whose behalf the account is created. BRANDME reserves the right to vet any and all Buyers and Sellers before allowing them entrance into Marketplace, and to vet any listings, pitches, or casting calls before the same may be offered for sale to Buyers. Review of a user’s profile, account, Marketplace offerings, listings, or content does not create or transfer any liability to BRANDME including, but not limited to, the accuracy of such content or the ownership rights to the same, or to the content services offered within Marketplace.

By registering for Marketplace, you are representing and warranting that (a) all information you may submit is truthful and accurate, and that you agree to maintain the accuracy of such information; and (b) if you are registering on behalf of a Buyer or Seller, that you have the authority to act on behalf of such Buyer or Seller and to bind such Buyer or Seller to the Creator Marketplace Terms of Service and the terms of any agreement entered into in connection with the Marketplace. You understand and agree that BRANDME will use the information you provide in accordance with the terms of the BRANDME Privacy Notice (“Privacy Notice”), which is integrated into and included as part of these Terms. BRANDME accounts are not transferable, assignable or resalable under any circumstances. Buyers and Sellers with accounts on the Site(s) who utilize Marketplace expressly agree to BRANDME’s Privacy Notice. Buyers and Sellers are encouraged not to share any personally identifiable information with any other Marketplace user outside of entering into contracts for the purchase of services, and expressly agree that, to the extent of applicable law, BRANDME takes no responsibility for any personally identifiable information they choose to send or otherwise upload through Marketplace. Each of Buyer and Seller agrees not to misuse information discovered through Marketplace to harass, bully, or SPAM those individuals who are users of Marketplace.

In order to make Marketplace a responsible and safe place, BRANDME asks that all Buyers, Sellers, and other users acknowledge and agree to the following:

  • Marketplace is offered and available to users who are 18 years of age or older. If you are under 18 you may not use Marketplace unless a parent or authorized agent does so on your behalf. By using Marketplace, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. You will not use a false identity or provide false or misleading information.
  • Services that BRANDME considers to be pornographic, sexually explicit, lewd, lascivious, violent, harassing, promoting illegal drug use, offensive, or otherwise unlawful or in violation of these Terms are not allowed to be posted and/or solicited, and removal of listings, casting calls, offerings and/or the offending account may follow.
  • BRANDME does not guarantee or warrant any service offered by a Seller or payment by a Buyer.
  • Communications between parties outside of Marketplace are not BRANDME’s responsibility and may not be used to circumvent these Terms of Service or misuse Marketplace for illegal or immoral purposes.
  • All tangible information and file exchanges must be exclusively delivered through Marketplace, unless these Terms permit otherwise. Obtaining proof of all other performances or services not submitted through Marketplace is the Seller’s responsibility.
  • Rude, abusive, offensive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.
  • Discrimination against another user based on gender, race, age, religious affiliation, sexual preference or otherwise is not acceptable and may result in the suspension/removal of your account.
  • Frequent violation or infringement of proprietary rights or intellectual property rights may result in a termination of any listings or casting calls, your account access to Marketplace, and any other appropriate action BRANDME may decide upon.
  • Physical deliverables shall require the Buyer to provide the Seller a shipping address. BRANDME does not guarantee shipping, tracking, quality, or condition of the items or their delivery. BRANDME does not compensate Seller for any product(s) purchased to provide services.
  • Users may not submit proposals or solicit parties introduced via Marketplace to contract, engage with, or pay for services outside of Marketplace.

In addition to the above list, BRANDME can at any time disable an account, remove access, or reject any users of Marketplace or any proposed listing, pitches, or casting call, at any time and for any reason, in its sole discretion. This includes removal of accounts created to circumvent or abuse the Terms.

  1. Fees and Payment

Marketplace is open to browse for listings (minimum value of $10 USD) and casting calls, but to enter into a Marketplace transaction you must be a registered user. Marketplace charges Sellers a service fee for listings purchased on the site.

The Creator Marketplace also allows for non-refundable membership subscriptions at various levels, at the fees advertised within Marketplace, for both Creators and Marketers.

If Buyer fails to make payment as set forth herein, Buyer will be responsible for all reasonable expenses (including attorneys’ fees and costs) incurred by Seller or by BRANDME in collecting such amounts. All prices are in United States dollars, unless otherwise indicated, and do not include taxes that may be assessed by any jurisdiction. If withholding taxes or any other fees are imposed by any jurisdiction on the transactions pursuant to these Terms, Buyer shall pay such taxes. Buyer agrees to promptly: (i) update all information to keep account and credit card billing current, complete and accurate (such as a change in billing address or e-mail), (ii) notify BRANDME in writing if it becomes aware of a potential breach of security, such as the unauthorized disclosure or use of Buyer’s user name or password, and (iii) notify BRANDME in writing if its credit card is canceled. Upon termination, suspension or discontinuation of Marketplace or any Site, all outstanding payment obligations incurred by Buyer in the platform will become immediately due and payable.

3.1. Dispute Policy

As BRANDME is not a party to any agreements or contracts between Buyers and Sellers or to the services offered by users through Marketplace, BRANDME has no formal role in any disputes between the parties. BRANDME requests that the parties make a good faith attempt to amicably communicate with each other in order to resolve any such dispute. However, if the parties are unable to resolve a dispute after making an initial effort to do so, either party may provide any available proof and request that BRANDME intervene by sending a request to [email protected] or by using the automated dispute resolution process within Marketplace. Once involved, BRANDME’s decision shall be final in resolving the matter. Note that escalated disputes or a significant number of disputes may result in a negative impact on a user’s ranking in Marketplace, result in a termination of any active listings or casting calls, or result in a termination of an account.

3.1.1. Refund Policy

Any refund requests shall be made directly to the Seller, as BRANDME is not a party to any contracts or agreements regarding services offered by Sellers through Marketplace. If the parties cannot resolve the dispute amicably, a request may be made by a party to involve BRANDME in the dispute, and BRANDME may award no refund, a credit, or a full refund, in its sole discretion. Refunds shall be issued to Buyer’s valid credit card associated with the account.

3.1.2. Cancellation Policy & Rejection of Services

Rejection of an Order

A Marketplace deal may be voided or an offer rejected in the following circumstances: (i) Seller fails to respond to Buyer’s request to purchase a deal within a reasonable time period (i.e., within seventy-two (72) hours barring exigent circumstances), (ii) Seller actively declines the order, or (iii) Buyer submits an order request then fails to respond to Seller’s communications within a reasonable time period (i.e., within seventy-two (72) hours barring exigent circumstances).

Cancellation After Making a Deal

A Marketplace deal can be cancelled after Seller accepts an order in the event that (i) The agreed-upon delivery deadline has expired OR one party fails to respond to the other for a period of seven (7) days following the last message received, and a party does not agree to extend the time period for performance, such as a circumstance in which Seller fails to deliver services (including revisions), Seller receives product from Buyer but becomes unresponsive, or Seller does not respond to Buyer in the time period indicated above; (ii) Seller exceeds the allotted number of revisions without delivering a satisfactory product; (iii) Buyer does not respond to Seller for a period of seven (7) days following the last message received (a) to permit Seller to perform within the agreed-upon deadline for delivery of services, or (b) after Seller delivers content or services to Buyer and Buyer does not request revisions; or (iv) Buyer does not respond to Seller for a period of seven (7) days following the last message received after (a) Seller receives product from Buyer to be incorporated in delivering the services and the agreed-upon deadline has expired; or (b) Seller purchases product to be incorporated in delivering the services and the agreed-upon deadline has expired, during which time Seller may either complete the content and demand payment or cancel the order.

Rejection of Services Delivered

Rejecting delivery of the services or content, for whatever reason, is subject to the Seller’s terms for that listing or deal, and in accordance with the number of content revisions permitted by Seller in the listing or deal. Final rejection of the services after delivery and all revisions have been made, must be coordinated through an BRANDME representative using the dispute resolution process. Unless a dispute has been initiated, failure on the part of the Buyer to expressly “accept” the services in a reasonable period of time following delivery will trigger an administrative review and a reminder to Buyer to take action. If, within seven (7) calendar days, Buyer has not taken an action, an administrator may intervene, and following review, all or a portion of the payment may be released to the Seller. Buyer may not make any use of the rejected or cancelled services or content provided.

Return of Materials Received

Should the Buyer reject services or content, or terminate a deal, Seller agrees to return all materials received from Buyer, at Seller’s own shipping cost. If Seller has already received payment then, in lieu of returning the items, Seller shall receive a reduction in payment for services rendered equal to the value of the non-returned items. In no event shall BRANDME be responsible for obtaining, shipping, or reimbursing Buyer for materials sent to Seller.

Removal of Content

A Buyer may request that a Seller modify or remove any content posted about Buyer’s products or services, and to cease use of any content incorporating Buyer’s intellectual property, materials, or products, whether or not the same has been published. Should Seller be asked to reasonably modify or to remove posted content, Seller must do so within twenty-four (24) hours of receiving such instruction. Failure to do so may result in a loss of compensation (including a clawback of monies already paid) and other remedies, up to and including removal from Marketplace and any related BRANDME Sites, and termination for cause of any related contracts.

3.2. Credit Card Charges

In addition to any subscription fees processed via credit card, other charges incurred in the platform shall be paid via credit card. Buyer will be responsible for charges resulting from the use of a Seller’s services. If Buyer’s account does not have a sufficient credit balance available to complete a transaction, Buyer’s credit card will be charged when the services are ordered. Buyer authorizes BRANDME to charge Buyer’s credit card, as provided by the Buyer, to purchase a Seller’s services or pay for any agreed upon fees. Any approved rejection of services (whether agreed to by Seller or finally determined by BRANDME) will be handled as a refund to Buyer’s credit card, per the terms of the listing or deal. Payment to Seller will be held as “pending” and the amounts shall not be available for withdrawal until forty-five (45) days after the delivered services are accepted in fulfillment of a deal or listing (or thirty (30) days for “Pro” level subscribers). Any attempt to dispute a valid transaction or reverse payment through your credit card provider is a violation of these Terms and may result in your account being temporarily suspended or permanently removed. Buyer represents and warrants that it has the legal right to use any credit card utilized in connection with Marketplace. By submitting such information, Buyer grants BRANDME the right to provide such information to third parties for purposes of facilitating the completion of transactions initiated by the Buyer. If the credit card provided was not authorized, then all amounts in the Buyer’s account will immediately be forfeited. If there is no balance in Buyer’s account to cover the fraudulent charge or failure to make payment when due, Buyer shall remain responsible for rendering such payment in a different manner. Buyer’s non-termination or continued use of Marketplace reaffirms that BRANDME is authorized to charge Buyer’s credit card.

BRANDME utilizes a third party payment processor for all credit card payments made on its Sites, and relies on such party to resolve any payment conflicts. Should Seller be unable to obtain payment from a Buyer, whether due to an unfounded dispute or chargeback, or due to Buyer’s use of a fraudulent method of payment, Seller should pursue recovery against Buyer directly and BRANDME shall not be liable for any payments due or owed to the Seller.

BRANDME reserves the right to modify, suspend, or terminate the required method of payment for use of Marketplace at any time. If BRANDME modifies the terms of the method of payment as outlined in this Section 3.2, Buyers and Sellers will be contacted by BRANDME or the modifications will be reflected in an updated version of these Terms. If a user does not consent to such modified Terms, such user must immediately discontinue using Marketplace. A user’s continued enrollment after any modifications constitutes its acceptance of the terms and method of payment as modified.

  1. Confidentiality

“Confidential Information” means any information disclosed by a disclosing party (e.g. BRANDME, Buyer, Seller) to a receiving party (e.g. Seller, Buyer, BRANDME) either directly or indirectly, in writing, orally, or by inspection of tangible objects, other than information that you can establish: (i) was publicly known and made generally available in the public domain prior to the time of disclosure to the receiving party; (ii) becomes publicly known and made generally available after disclosure to the receiving party other than through the receiving party’s action or inaction; or (iii) is in receiving party’s possession, without confidentiality restrictions, prior to the time of disclosure by the disclosing party as shown by receiving party’s files and records. Receiving party shall not at any time (i) disclose, sell, license, transfer or otherwise make available to any person or entity any Confidential Information (except to those individuals who have a legitimate need to know such information and are bound in writing by confidentiality and non-use restrictions not less protective than those contained herein), or (ii) use, reproduce or copy any Confidential Information, except as necessary in connection with the purpose for which such Confidential Information is disclosed to the receiving party and in accordance with the Terms. Receiving party agrees to take all measures to protect the secrecy, and avoid disclosure and unauthorized use of the Confidential Information. Receiving party may disclose Confidential Information if required by law to disclose the Confidential Information, provided that receiving party gives the disclosing party prompt written notice of such requirement prior to such disclosure and assistance in obtaining an order protecting the information from public disclosure, and provided further that any such disclosure is limited to the minimum extent necessary to comply with the legal requirement. All Confidential Information shall remain the disclosing party’s personal property and all documents, electronic media and other tangible items containing or relating to any Confidential Information shall be delivered to the disclosing party immediately upon its request, and also, upon termination of the Terms.

Nothing contained in the Terms will prevent BRANDME, its parent and/or affiliates from complying with privacy laws and regulations, and if there is any conflict between the Terms and the terms of the applicable Privacy Notice, the Privacy Notice shall control.

Sellers acknowledge and agree that, as part of any service or content development they are contracted for, they have an obligation to keep confidential any and all materials provided to them by Buyers. This obligation survives the end, cancellation, or termination of any agreements between the parties.

  1. Ownership & License Rights

5.1 Subscription License

Creators and Marketers may choose “Pro” level software license subscriptions to The Creator Marketplace, at the fees advertised plus applicable taxes, which are non-refundable. BRANDME hereby grants each subscriber in countries where access is made available a limited, non-exclusive, non-transferable, revocable license to use The Creator Marketplace in accordance with any instructions provided by BRANDME and in accordance with all applicable laws. Upon any termination by BRANDME due to user’s breach or upon the expiration of the term of a subscription license due to non-renewal, subscriber shall have no further rights to access the Marketplace. However, the subscriber remains obligated to pay BRANDME all amounts owed for the remaining subscription term as well as any pending or owed service fees and taxes, and any fees due for Marketplace services and transactions, as applicable.

5.2 Content License Rights & Ownership

Buyers and Sellers, when using Marketplace, can choose the following categories of owned or licensed content in connection with the services being purchased. Under no circumstance is any content or service to be used for any illegal, immoral, or defamatory purpose. No license is granted for rejected content or services. To the extent publicity rights are contemplated by the services provided, Seller grants a limited publicity rights license to Buyer to the extent required to make use of the content delivered, and solely in connection with such content, in accordance with the terms of the applicable license. No royalties shall be paid for any services or content delivered in Marketplace. Seller represents and warrants that it owns all copyright and has obtained all publicity releases and licenses required for Buyer to make use of the content as described below, and that such content shall be unique, original, and not repurposed.

  1. Commercial – The services and content, following delivery, acceptance, and full payment, belong to the Buyer. Seller assigns the copyright in the content and grants to Buyer all rights and licenses to exploit the services. Buyer shall own the copyright in and to the services and may use, reproduce, have reproduced, edit for length or clarity, publish and exploit such services in its sole discretion, including, without limitation, licensing the services to any agent or third party, copying, distributing, displaying, publicly performing, and creating derivative works of the services. In addition, Buyer and Seller each specifically grants BRANDME a worldwide, perpetual, fully paid-up, royalty-free, and fully sublicensable right and license to share, use, copy, process, adapt, translate, display, perform, reproduce, republish, and distribute the content or any portion thereof in any and all forms of media or distribution methods (now known or hereafter developed), including but not limited to television, radio, print, Internet site and other electronic communications, for purposes of promoting BRANDME.
  2. Personal – The services and content, upon delivery, acceptance, and full payment, are licensed to the Buyer but Seller retains copyright ownership. The Seller grants to Buyer and BRANDME a worldwide, perpetual, fully paid-up, royalty-free, and fully sublicensable right and license (excluding commercial use) to share, use, copy, display, distribute, perform, publish, and reproduce the content in any and all forms of media or distribution methods (now known or hereafter developed), including but not limited to television, radio, print, Internet site and other electronic communications. The content may not be modified in any way from its original form without Seller’s permission. Any use, publication, or distribution of the content must be accompanied by credit to the Seller who created it, by use of the Seller’s name or social media handle (if made available by Seller, for published content) in connection with such content. No licenses for derivative works of the services or modified services are granted to Buyer.
  3. Sponsored Social Content – Content is created by a Seller for Buyer’s marketing campaign and is submitted, posted, displayed, or shared to Seller’s followers through his or her personal social media platforms. Unless otherwise indicated in a Listing description, Deal, or Options, or unless otherwise mutually agreed to by the parties in a separate communication or writing, Content is owned by Seller, but BRANDME and Buyer receive a worldwide, perpetual, fully paid-up, royalty-free, and fully sublicensable right and license to share, use, copy, process, adapt, translate, display, perform, reproduce, republish, and distribute the content or any portion thereof in any and all forms of media or distribution methods (now known or hereafter developed), including but not limited to television, radio, print, Internet site and other electronic communications. Any use, publishing, or distribution of a Seller’s content must be accompanied by credit to the Seller of that content by use of the Seller’s name, likeness, image, username/handle or other identifying representation (to which Buyer and BRANDME will receive a limited license). While Buyer has the right to reuse the Content outside of its native platform, as described above, FTC guidelines state that the connection between the Seller and Buyer (or brand) must be disclosed and the Content must be attributed to the Seller. The disclosure should also clearly and conspicuously communicate that the Seller is paid by or works with the Buyer (or brand).
  4. Streaming / Temporal Limited Licenses – Seller creates content as requested by Buyer which only lives on a particular platform that may prohibit off-platform sharing or may limit the time period for which such content may remain live. Platforms may include Clubhouse, Instagram, Twitch, YouTube, and other photo/video sharing sites, social audio sites, and conferencing sites. Buyer receives a limited license to such content only for the period it is streaming, live, or otherwise made available on the particular platform. Buyer is encouraged to coordinate with Seller on the timing of publication for such content, or to otherwise obtain proof that content has been delivered per the terms mutually agreed upon by the parties.

5.3 Deal Features and Options

A Seller may offer a listing at different deal levels with various options or features available, at set prices. A Buyer may select certain options to customize the required services or content to be purchased in a deal. The Seller may request that the Buyer provide supplemental information or files as required to complete the services. If the Seller has placed time limitations on any of the licensed content or services provided, including usage limitations on third party content incorporated into the services or licensed content, Buyer must comply with the same, including ceasing the use, distribution, or advertising of the content, and the removal of such content from publication, display, or distribution after the expiration of such time period.

5.4 Third Party Content & Waivers

Seller represents and warrants that it has the rights to incorporate any and all third party intellectual property, including stock video or stock photo licensing, as well as any publicity waivers required for content (including images of third parties), and Buyer must comply with all usage terms as advised by Seller. By offering a service, the Seller undertakes that he/she has sufficient permissions, rights and/or licenses to provide, sell or resell the service that is offered on Marketplace. Failing to do so may result in removal or suspension of Seller’s account, among other measures available to BRANDME.

BRANDME does not check Seller uploaded or created content for appropriateness, violations of copyright, trademarks, other rights or violations. Buyers and Sellers agree that BRANDME shall not be responsible for the content, quality, or the level of service provided by the Sellers. No warranty is provided by BRANDME with respect to the services offered by Sellers, delivery of any services, and any communications between Buyers and Sellers. We encourage Buyers to carefully consider choosing appropriate services and Sellers.

5.5 Casting Calls

Participating Marketers create and list Casting Calls in the Marketplace, often as part of a larger marketing goal or campaign, which offer Creators the chance to receive compensation (i.e. cash, event access, free products, publicity, etc.) in exchange for creating and/or distributing sponsored social content and/or performing an action through their social network or in person. Creator must comply with the requirements set forth by the Marketer in connection with the Casting Call. Each Casting Call should contain a complete description of the requirements and the compensation to be paid by the Marketer. Creators shall disable other ads from running on the paid content of a Casting Call. Should Marketer accept a Creator to participate in a Casting Call, Marketer is solely responsible for the review and approval of Creator’s content, compliance with laws, and for the payment of any compensation to be received. BRANDME is not liable if payments are not made by Marketer. Marketer retains responsibility for payment of any or all approved offers and content under review, which will become immediately due and payable, regardless of whether or not Marketer’s access to the Platform is terminated.

Creators participating in the Marketplace must clearly disclose in their sponsored content the relationship between themselves and the Marketers. FTC guidelines require that disclosure be made in a meaningful way that makes clear to an ordinary consumer that there is a relationship between the Creator and the Marketer. Creator agrees to comply with the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising and Disclosures 101 for Social Media Influencers and to comply with all applicable local, state, federal and international laws and regulations in the preparation and delivery of Content. Marketer and Creator, not BRANDME, shall be liable for any failure to comply with FTC guidelines. Any violations of the above terms by Creator may be cause for termination of any relevant contracts, casting calls, or listings involving Creator.

By responding to a Casting Call, Creator acknowledges that (i) it will follow the Casting Call’s parameters, instructions, and guidelines, (ii) it has the authority and ability to perform the requested service within the stated time period, as applicable, (iii) all submitted content will be in the English language or such other language as indicated in the requirements, (iv) all submitted content or action will be original (not repurposed) and does not infringe on any license, copyright, patent, trademark, trade secret or other intellectual property right of any third party, (v) all required releases and waivers will be timely executed and submitted, (vi) all ads will be disabled in paid social media posts, (vii) all submitted content or action is in compliance with the terms of necessary third party platforms, and (viii) all submitted content or action does not include or support excessive profanity, violence, racial intolerance, illegal drugs or drug paraphernalia, pornography or any other content that promotes intolerance, illegal activity or infringes on the legal rights of others.

Creator will receive payment for the completion of the casting call as agreed upon between the Marketer and the Creator. Creators, as part of any Casting Call they are contracted for, have an obligation to keep confidential any and all materials provided to them by Marketers. This obligation survives the end, cancellation, or termination of any agreements between Marketers and Creators.

  1. AI Feature Terms of Service

By accessing any artificial intelligence (AI) features made available through BRANDME’s Creator Marketplace, you agree to the following AI Feature Terms of Service (AI TOS), in addition to the applicable Terms of Service and Privacy Notice agreed to when creating an account on any of BRANDME’s Sites. Notwithstanding any Terms of Service provisions to the contrary, no intellectual property rights are granted in any AI-generated output, which you use at your own risk and without any protection or indemnification offered by BRANDME.

AI Credits

  • You will receive a number of AI credits that may be used on this AI feature each month based on your current BRANDME account tier. You acknowledge and accept that although the number of AI credits provided will refresh each month, any AI credits that you do not use in any given month will not rollover and will be lost upon each monthly renewal. You additionally acknowledge that any violation of these Terms may result in a suspension or termination by BRANDME, in BRANDME’s sole discretion, upon which you would forfeit any remaining AI credits.

D-ID

By accessing Talking Portraits you also agree that your usage is governed by the D-ID Products Terms of Use which include the following provisions:

User Submissions.

The Software may permit the submission and sharing of Input and other content by you and other users (collectively, “User Submissions“). Your User Submissions and/or Animations created by you and/or any Output may be made publicly available by you (e.g., on Third Party Sources). You understand that whether or not such User Submissions and/or Animations and/or Output are shared, we do not guarantee any confidentiality with respect to any User Submissions and/or Animations and/or Output. You shall be solely responsible for your User Submissions and Animations and/or any Output and the consequences of sharing them. We reserve the right without further notice to you, to monitor, censor, limit, edit, reject, delete, and/or remove any and all User Submissions submitted to the Software and/or Animations and/or Output at any time and for any reason (and as further described below), as well as the right to terminate Accounts of Software users who are violators of the terms of this Agreement.

Ownership and Responsibility. You represent and warrant that you own or have the necessary rights and permissions to use and authorize us to use all Intellectual Property Rights in and to your User Submissions, and to enable inclusion and use thereof as contemplated by this Agreement. Notwithstanding anything to the contrary in this Agreement, you retain all of your ownership rights in your User Submissions, Output and/or Animations. For clarity, you bear all risk with respect to and shall be responsible for obtaining all necessary consents, rights and/or licenses (including paying any applicable royalties), if any, to use the User Submissions and/or Animations and/or any Output in the Software (including for the provision and modification of the relevant User Submissions and in connection with the development of Animations). D-ID shall not be liable for any claims of any kind (including copyright, publicity and/or privacy rights or breach of contract claims) made by any third party in connection with the use of User Submissions and/or Animations and/or any Output. It is hereby clarified that your use of the Animations and/or any Output shall be only for lawful purposes and is subject to all applicable terms and conditions applied by Third Party Sources used in the creation of such Animations and/or Output (if any). You shall be solely responsible for the security of your User Submissions. It is hereby clarified that (notwithstanding any other provision of this Agreement and to the extent applicable) Paying Users subscribed to the “Lite” Plan will be able to use the Software and/or Animations for non-commercial use only.

Prohibited Content. You agree that you will not send, display, post, submit, publish or transmit a User Submission and/or an Animation that: (i) you do not have or have not obtained the appropriate rights or consents to use; (ii) is unfair or deceptive under the consumer protection laws of any jurisdiction; (iii) is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights; (iv) creates a risk to a person’s safety or health, creates a risk to public safety or health, compromises national security, or interferes with an investigation by law enforcement or is otherwise harmful; (v) impersonates another person; (vi) promotes illegal drugs, violates export control laws, relates to illegal gambling, or illegal arms trafficking; (vii) is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, religiously, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, violates any law or regulation, or is otherwise dishonest, inaccurate, inappropriate, malicious or fraudulent, including but not limited to fake news and/or spam; (viii) involves theft or terrorism; (ix) constitutes an unauthorized commercial communication and/or is political; (x) contains the contact information or any personally identifiable information of any third party unless you have first obtained the express consent of said third party to include their contact information or personally identifiable information; (xi) breaches this Agreement; (xii) provides medical advice and/or medical results interpretation; (xiii) is used for the purpose of exploiting, harming or attempting to exploit or harm minors in any way; (xiv) generates or disseminates information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes; (xv) is used for fully automated decision making that adversely impacts an individual’s legal rights or otherwise creates or modifies a binding, enforceable obligation; (xvi) is used for discriminating against individuals or groups based on social behavior or known or predicted personal or personality characteristics; and/or (xvii) you do not wish to potentially become public or that is otherwise sensitive, e.g. because if constitutes an internal know-how. You are expected to follow our Ethical Code and Ethical Pledge https://www.d-id.com/ethics/ when providing any User Submission.

Microsoft Azure

By creating an account and accessing Talking Portraits you agree that your usage is governed by the Microsoft Azure Specific Service Terms which include the following provisions:

Customized Text-to-Speech (TTS) Services and use of Synthetic Voices

Permissions: Customer represents, warrants and certifies that (i) it has explicit written permission from the voice owner(s) contained within its audio files (“Voice Talent”) to use their personal data, including his/her voice likeness to create voice model(s) (“Synthetic Voice(s)”), (ii) Customer’s agreement(s) contemplate the duration of use of the Synthetic Voice and any content limitations and (iii) Customer has shared Microsoft’s disclosure guidance for voice talent (https://aka.ms/disclosure-voice-talent) with Voice Talent directly or through Voice Talent’s authorized representative that describes how synthetic voices are developed and operate in conjunction with text to speech services. Microsoft reserves the right to require Customer to provide audio files containing acknowledgements by Voice Talent(s). Customer acknowledges and agrees that Microsoft may use this to perform speaker verification against Customer’s audio training files; however, Microsoft’s retention of audio files does not create or imply an obligation that Microsoft will perform speaker verification.

Permitted uses: In addition to compliance with the Acceptable Use Policy, the code of conduct (available at https://aka.ms/custom-neural-code-of-conduct) sets the minimum requirements that all TTS implementations must adhere to in good faith. Customer shall have the exclusive right to use the Synthetic Voice(s)s created by Customer and made available through use of the Services. Notwithstanding the foregoing or anything to the contrary in the DPA, Customer acknowledges and agrees that Microsoft may retain a copy of each Synthetic Voice created by Customer and may, but is not obligated to, use the Synthetic Voice(s) to investigate and respond to any alleged violations of the service terms. Customer agrees and grants Microsoft a limited nonexclusive irrevocable worldwide license to retain acknowledgment audio voice consent file(s)s and a copy of the Synthetic Voice(s) for the limited purposes above. Customer is required to secure and maintain all rights necessary for Microsoft to retain and use the acknowledgment audio files and Synthetic Voice(s) as described in this section without violating the rights of Voice Talent(s) or any other third party or otherwise obligating Microsoft to Customer, Voice Talent or any other third party. This paragraph will survive termination or expiration of Customer’s agreement.

Microsoft Translator Attribution

When displaying automatic translations performed by Microsoft Translator, Customer will provide reasonably prominent notice that the text has been automatically translated by Microsoft Translator.

ElevenLabs

By creating an account and accessing Text to Speech or Speech to Speech features on the Site(s) you agree that your usage is governed by the ElevenLabs Terms of Service which include the following provisions:

Content on the Voice Library

The Voice Library makes available content generated by ElevenLabs and other ElevenLabs users.

You can access and reuse content made available on the Voice Library under the terms of our license described below (the “Voice Library License”).

Our Voice Library License allows you to access and reuse any content available on the Voice Library for any purposes, including personal and commercial use.

Our Voice Library License is:

  • worldwide, which means it’s valid anywhere in the world
  • non-exclusive, which means you can license Your Content to others
  • royalty-free, which means there are no monetary fees for this license
  • non-transferable, which means that you cannot sell, lease, or sublicense content made available through the Voice Library.
  • revocable, which means ElevenLabs reserves the right to withdraw this license at any time and for any reason.

ElevenLabs reserves all rights not expressly granted in this license. Crediting or attributing materials made available through our Voice Library to one of our account users does not mean or suggest the materials or the underlying voice synthesis capability are owned by the account user at hand. The ownership of rights in the materials made available through our Voice Library is governed by our Terms of Service.

This license is also contingent on your compliance with our Terms of Service.

This license does not grant you the right to use content for any purpose listed in the ‘prohibited activities’ section of these Terms, or to infringe on the rights of any third party, including and without limitation to any intellectual property or privacy rights.

To opt out of Your Content being used by us to improve our Services and models, fill in this online form. Your Content will be removed from the materials we use to improve our Services and models from the date your request will have been processed by our team. Your opt out request applies on a going-forward basis. This means that we will not use Your Content to improve our Services or models from the date we process your request, but this does not affect any uses of (or materials resulting from uses of) Your Content prior to that date.

Necessary consents and legal authorizations

By uploading any of Your Content to our Services, you confirm that you are either the owner of Your Content or that you have the necessary rights and permissions to upload and use (and to enable us to receive and use) Your Content as contemplated by these Terms of Service. For example, if you upload somebody’s voice recording to our Services, you represent and warrant that you have permission from the voice owner to clone and synthesize their voice. Only you are responsible for securing these rights and permissions.

We ask that the content generated using our Services by users subscribed to free plans and by non-signed-up users be attributed to ElevenLabs when published outside of our platform by including [elevenlabs.io] or [11.ai] in the description.

OpenAI and StabilityAI

You acknowledge and agree that by accessing the Marketplace (including features within FormAI) your usage is governed by the OpenAI and Stable Diffusion Art’s Terms of Service.

Summary of Usage Terms

  • BRANDME claims no rights or license on the outputs you generate, you are free to use them and are accountable for their use which must not go against the provisions set in the licenses or terms of use referenced above or in the Additional Details section below.
  • You can’t use the model to deliberately produce or share illegal or harmful outputs or content.
  • You may not represent that the output was human-generated.
  • You acknowledge that the output of AI features is only meant to serve as inspiration for the creation of other works, and that it will be created based on user generated data, which may be subjective or inaccurate. Therefore, BRANDME cannot and does not guarantee that the output will be accurate or free of any offensive or harmful content, and you agree that BRANDME shall not be liable for any direct, indirect, incidental, special, or consequential damages in connection with any claims arising from your creation or use of such output.
  • Public Images. You acknowledge and agree that if you are using BRANDME’s free access version of the AI feature, any information and/or data that you provide into BRANDME’s AI prompt for the creation of an image and the resulting output shall be made available to the general public and that BRANDME shall be permitted to use, display, and/or transmit your input and the output to third parties. If you use the Marketer Pro, Creator Pro, Creator AI, or Creator AI+ tier versions of BRANDME’s Marketplace AI feature, you will be granted the ability to change your settings, so both the information and/or data you enter into BRANDME’s AI prompt for images and the output shall remain private and only be accessible to you, any others you provide access to your account (if applicable), and BRANDME.
  • Recommendation Against Providing any Non-Public Information. Notwithstanding anything to the contrary herein, you acknowledge and agree that any information and/or data that you provide into BRANDME’s AI prompt may be stored by OpenAI, and/or Stable Diffusion Art’s and used to train their applicable AI models, which may result in the exposure of such information and/or data to other users of these AI models as a component of their output. BRANDME strongly recommends against providing or entering any confidential information, you company’s development strategies, trade secrets, intellectual property, etc into BRANDME’s AI prompts, and you acknowledge and agree that BRANDME shall be held harmless for any use or disclosure of any such information, including confidential information, that is entered into BRANDME’s AI prompt or that is included or incorporated into any output created as a result, unless such disclosure is a result of BRANDME’s gross negligence or willful misconduct.

Additional Details

  • You acknowledge and agree that you will not use or input any prompt(s) that infringe any intellectual property rights or any other proprietary rights of another party, and that you shall not use or upload any prompt(s) prohibited by law, contract, or fiduciary relationship.
  • You agree you will NOT use the outputs produced:
  • In any way that violates any applicable national, federal, state, local or international law or regulation;
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way;
  • To generate or disseminate verifiably false information and/or content with the purpose of harming others;
  • To generate or disseminate personal identifiable information that can be used to harm an individual;
  • To defame, disparage or otherwise harass others; or to violate the privacy, publicity, or other rights of a third party;
  • To produce or share illegal, obscene, harassing, harmful, or offensive outputs or content;
  • For any use intended to or which has the effect of discriminating against or harming individuals or groups based on online or offline social behavior or known or predicted personal or personality characteristics;
  • To exploit any of the vulnerabilities of a specific group of persons based on their age, social, physical or mental characteristics, in order to materially distort the behavior of a person pertaining to that group in a manner that causes or is likely to cause that person or another person physical or psychological harm;
  • For any use intended to or which has the effect of discriminating against individuals or groups based on legally protected characteristics or categories;
  • To provide medical advice and medical results interpretation;
  • To generate or disseminate information for the purpose to be used for administration of justice, law enforcement, immigration or asylum processes, such as predicting an individual will commit fraud/crime commitment (e.g. by text profiling, drawing causal relationships between assertions made in documents, indiscriminate and arbitrarily-targeted use).

The Marketplace makes use of third-party software, including variations of open source software. BRANDME CROWDMARKETING SAPI DE CV. and its subsidiaries (“BRANDME”) provide no representation or warranty with regard to the services, the availability of the services, the right or permission to use the prompt terms or output generated by these third-party tools, nor offer any indemnification against any intellectual property rights claims arising from usage. BRANDME may restrict or terminate access to this feature or any account, at any time, for any reason. BRANDME may institute rate limiting or usage restrictions in the future.

  1. Acceptable Use of Marketplace

Outside of an API provided by BRANDME (if available), any attempt to access Marketplace without authorization or by using another party’s account, utilize automated programs, bots, screen scraping, database calls, human initiated data collection or any other means of gathering data, content or other information for the purpose of reverse engineering any of our platforms or Sites for commercial gain is strictly prohibited. Any manipulation of data, including click data, impressions, or any other relevant data or metric reported in Marketplace, is strictly prohibited. Any such unauthorized attempt will be prosecuted to the fullest extent under the law, and each action is grounds for termination of a Buyer or Seller’s account in Marketplace.

7.1 Cancellation of an Account

There is no requirement to purchase a membership subscription, purchase or offer a listing, or offer a casting call, in order to maintain an active account. A Buyer or Seller may delete its own account at any time or, if assistance is required, may also request that BRANDME terminate their access to Marketplace at any time by sending an email to [email protected]. Buyers or Sellers who cancel their accounts should review their existing contracts or agreements with other Buyers or Sellers. Should Buyer cancel its account while there are still active listings that have not been completed as of the date of cancellation, all such amounts shall continue to be due and owing by the Buyer to the Seller. Should Seller cancel its account while there are active listings which are incomplete or undelivered as of the date of cancellation, such amounts shall not be charged to the Buyer or owed to the Seller.

  1. Provision of Services

BRANDME is constantly innovating and changing its online offerings in order to provide the best possible experience for its users. Buyers and Sellers acknowledge and agree that the form and nature of the services which BRANDME offers may change from time to time without prior notice to you. Buyers and Sellers acknowledge and agree that BRANDME may stop (permanently or temporarily) providing Marketplace (or any features or functionality of Marketplace) at BRANDME’s sole discretion, without prior notice to you. BRANDME may terminate these Terms and/or Buyers and Sellers’ accounts with Marketplace at any time, for any reason or for no reason, and BRANDME shall not have any liability regarding such decisions. Sections 3 through 17 of these Terms shall survive any termination of these Terms. In addition, BRANDME has the ability to (i) modify user, account, or organization permissions at any level to add or remove users, or make any other changes as otherwise deemed reasonably necessary in the provision of services; and (ii) assume a user’s account for the purposes of troubleshooting and resolving issues.

8.1 Managed Services

Marketers may request to have BRANDME manage part or all of its advertising Campaign for a fee as agreed upon through a separate managed service agreement. Interested parties should contact BRANDME directly.

  1. Independent Contractors

These Terms do not establish any agency, joint venture or partnership relationship between the BRANDME and either a Buyer or Seller, and neither Buyers nor Sellers can bind BRANDME by any contract or representation. Nothing in these Terms shall be construed as creating an employer-employee partnership or joint venture relationship between BRANDME and either a Buyer or Seller.

  1. Representations and Warranties

Buyers and Sellers utilizing Marketplace represent, warrant and covenant that (i) you have sufficient authority to enter into the Agreement, (ii) your use of Marketplace is solely for lawful purposes and shall be within the bounds of the terms negotiated with a Seller; (iii) you will not engage or cause others to engage in any form of spamming or, as determined by BRANDME, improper or malicious clicking, impressions, or marketing activities through Marketplace; (iv) you will comply with all applicable laws including complying with privacy laws and the CAN-SPAM Act of 2003, and that you will not collect information derived through Marketplace and use it to impermissibly market to or spam other Marketplace users whether on or off platform; and (v) you have the necessary rights to provide, offer, or review all information provided to Marketplace (including all personally identifiable information, intellectual property, content, data, claims, statements, products and services, titles, URLs and descriptions) for use as described in these Terms (the “Information”). Sellers utilizing Marketplace represent, warrant and covenant that all services will be delivered in accordance with the terms negotiated with Buyers, and that the services they offer do not and will not: (a) violate any law, statute, ordinance, treaty or regulation or BRANDME policy or guideline; (b) infringe any copyright, patent, trademark, trade secret, trade dress, or other intellectual property right of any third party; and (c) breach any duty toward or rights of any person or entity including rights of publicity or privacy, and have not otherwise resulted in or are not likely to result in any fraud, product liability, tort, breach of contract, injury, damage or harm of any kind to any person or entity. Other than as indicated herein, Seller explicitly excludes any express or implied warranty in connection with the provision of the content or services, including fitness for a particular purpose, merchantability, and accuracy.

Additionally, Sellers agree that all services they offer will (i) not be false, misrepresentative, deceptive or misleading; (ii) not be defamatory, libelous, slanderous, obscene or threatening; (iii) not target children under the age of thirteen (13), (iv) be free of viruses, Trojan horses, trap doors, back doors, Easter eggs, worms, time bombs, cancelbots or other computer programming routines that may potentially damage, interfere with, intercept, or expropriate any system data or personal information. Sellers have no expectation of privacy in any content or service delivered in connection with a Marketplace listing or casting call.

2.- Aceptación de los presentes Términos y Condiciones para el Uso del Sitio.

2.1. – El acceso y navegación por el SITIO implica automáticamente la aceptación tácita de los presentes TCUS, por lo que las personas que accedan y naveguen por el SITIO se obligan a cumplirlas y respetarlas bajo su exclusiva responsabilidad.

2.2. – A fin de obtener la mejor efectividad del SITIO, BRANDME podrá denegar o restringir el acceso a Usuarios que no respeten los presentes TCUS sin necesidad de previa notificación.

2.3. – Los presentes TCUS podrán ser modificadas por BRANDME en cualquier momento sin previo aviso, cuando se considere conveniente, oportuno o necesario para optimizar y/o adecuar la regulación del acceso y uso del SITIO. Una vez introducida la referida modificación, si el Usuario sigue accediendo y utilizando las distintas herramientas del SITIO se entenderá que acepta dichas modificaciones, de lo contrario deberá abstenerse de su utilización.

2.4. – Sin perjuicio de las presentes TCUS, BRANDME podrá establecer determinadas condiciones particulares, que serán de obligado cumplimiento para el acceso y uso de algunos de los servicios que ofrece el SITIO. Por otra parte, podrán existir condiciones especiales para algunos Usuarios que aplique solamente para ellos, a efecto de claridad, se definirán aquellos supuestos que sean de aplicación exclusiva para algún tipo de Usuarios. Además de las presentes TCUS, para el acceso y uso del SITIO, deberá respetarse el Aviso de Privacidad y Protección de Datos que se indica en las presentes condiciones generales.

2.5. – A los efectos de las presentes TCUS, se entenderá como Usuario cualquier persona que acceda y navegue por el SITIO, con independencia del tipo de Usuario de que se trate, o de si se registra cumplimentando los formularios de registro y/o utiliza cualquiera de los servicios que éste ofrece, sea gratuito o sujeto al pago de una cantidad determinada.

3.- Descripción del SITIO y EL SISTEMA y finalidad de uso

3.1. – BRANDME le provee a usted acceso a su plataforma en línea (EL SISTEMA), ubicada en el SITIO www.brandme.la, por medio de la cual interactúan varios tipos de Usuarios con miras a lograr crear y difundir Campañas en línea a través de Redes Sociales. Para comprender las relaciones que se generan a través del SITIO, y para definir los alcances y obligaciones para cada tipo de Usuario, se definen a continuación los diferentes Usuario que puede acceder al SITIO, así como algunos conceptos centrales para comprender la operación de BRANDME:

  1. Usuario.- Cualquier persona física o moral que ingrese con o sin registro al SITIO.
  2. Anunciantes.- Usuarios que buscan contratar los servicios de Creadores para campañas publicitarias a través del SITIO, quienes podrán realizar depósito de Fondos en la Plataforma de BRANDME (EL SISTEMA).
  3. Creadores.- Todo Usuario de Redes Sociales que se registre en el SITIO con esta calidad, y que sea usuario de alguna Red Social y quien recibirá compensación por crear contenido o enviar contenido a través de la Plataforma.
  4. Contratante.- Cualquier Usuario sin la calidad de Anunciante que contrate los servicios de Creadores a través de EL SISTEMA, pero el cual para efectos de estos TCUS recibirá el tratamiento de Anunciante, por lo que cualquier referencia a “el Anunciante” dentro de los TCUS, deberá considerarse que también aplican para los Contrantes.
  5. Red Social.- Programas de Computo que funcionan a través de la red mundial conocida como Internet a través de los cuales, las personas crean cuentas y comparten información con otros usuarios de estas redes. Se identifican a continuación algunas de las principales redes sociales que operan actualmente, pero se entenderá por medio de estos TCUS que estos serán aplicables para estas redes sociales y cualquier otra que exista en el presente o en el futuro.
  6. Twitter.- Red Social de microblogging donde sus usuarios comparten ideas de hasta 140 caracteres con otros usuarios de dicha plataforma.
  7. Facebook.- Red Social donde las personas crean perfiles y comparten fotos, videos, escritos e incluso pueden participar en juegos en línea e interactivos con otros.
  8. Instagram.- Red social especializada en fotografías y videos, donde además las partes pueden comentar publicaciones.
  9. Recompensa.- El pago que realiza algún Usuario por los servicios de otro a través de EL SISTEMA
  10. Calidad VIP.- Calidad otorgada a algún Usuario dentro del SITIO, por el cual podrá obtener mayores Recompensas o acceder a privilegios especiales otorgados por BRANDME.
  11. Campaña Publicitaria (La Campaña).- Se refiere a cualquier proyecto de promoción de algún producto o servicio que se gestione a través de EL SISTEMA.
  12. Trending Topic (TT).- Dentro de alguna Red Social cuando un tema se convierte en un tema de amplia difusión generando muchos mensajes, se considera un tema de discusión masiva, o TT.
  13. Hashtag (#).- Cualquier término utilizado en Redes Sociales precedido por el símbolo # que hace referencia a un tema de dialogo en esa Red.
  14. Interfaz de Programación de Aplicación (API).- Conjunto de subrutinas, funciones y procedimientos que constituyen la estructura de EL SISTEMA.

Con base en lo anterior, se deben entender que la funcionalidad que otorga BRANDME a través de EL SISTEMA consiste en permitir a los Contratantes o Anunciantes contactar y recompensar a los Creadores que cuentan con una cuenta en redes sociales como Twitter, Facebook, Instagram, entre otras, a través de la cual crean o distribuyen contenido único (el “Servicio”) para ayudarlos a promover algún producto o servicio. Debe entenderse en todo momento que la firma de estos TCUS no somete ni obliga a ninguna parte a tener que unirse o a patrocinar una determinada campaña publicitaria. Todos los Usuarios conservan su libre albedrío a efecto de decidir el tipo de campañas que crean o si se unen a una campaña publicitaria en marcha.

Si usted no está de acuerdo con estos TCUS, no utilice el Servicio. El acceso, navegación y uso del SITIO constituye una aceptación tácita de estos TCUS por el Usuario. BRANDME se reserva el derecho a modificar los TCUS en cualquier omoento, bastando para ello la publicación en su SITIO, y para facilidad del Usuario, BRANDME colocará en la parte inferior derecha de la página de inicio del SITIO, la versión más reciente de estos TCUS, y se considerarán aceptados en su última versión, con el uso continuado del SITIO. La sumisión y vigencia del Usuario a estos TCUS se considerará que comienzan con la primera navegación sin registro por el SITIO y con el registro en el mismo como Usuario (en su caso). Será necesario notificar por escrito a BRANDME la intención del Usuario a dar por terminada su relación con BRANDME, en caso de que EL SISTEMA lo permita, el aviso de terminación podrá también notificarse por ese medio.

3.2. – BRANDME y EL SISTEMA no realiza ninguna actividad de intermediación laboral ni de agente intermediario con ninguno de los Usuarios del SITIO, ni es parte de cualquiera de ningún contrato de prestación de servicios que los Usuarios puedan suscribir entre ellos. En ningún caso, BRANDME será responsable por el uso que los Usuarios den a EL SISTEMA, lo anterior se refiere a que bajo ninguna circunstancia se considerará que BRANDME apoya o esta de acuerdo con el sentido de alguna campaña publicitaria o con alguna opinión o mensaje que fijen los Usuarios en Internet o por cualquier otro medio de comunicación. BRANDME conserva en todo momento una postura de imparcialidad y neutralidad ante cualquier actividad que realicen a través de EL SISTEMA los Usuarios, y por tanto, en caso de que algún Usuario genere algún problema de imagen o que relacione a BRANDME a sus ideas o propuestas que impacten a BRANDME negativamente, así como en caso de que exista cualquier reclamación o acción judicial o extrajudicial en contra de BRANDME por acciones de algún Usuario, ese Usuario será responsable en todo momento de sanear la imagen y el prestigio de BRANDME y de sacarlo a paz y a salvo de cualquier reclamación en su contra. Además el Usuario será responsable por el pago de los daños y perjuicios que sus acciones generen en perjuicio de BRANDME.

La presencia de ofertas en el SITIO para que Creadores su unan a Campañas Publicitarias, deberá en todo momento entenderse como un servicio que ofrece BRANDME en su calidad de Comisionista, y que por tanto, no representa de ninguna forma que BRANDME contrate o subcontrate a los Usuarios para los fines que acuerden entre Usuarios.

BRANDME no será responsable del tipo de mensajes que se generen en las Redes Sociales respecto a alguna Campaña, lo anterior y adicional al sentido de los mensajes que generen los Anunciantes o los Creadores, ya que cuando un tema se convierte en un “Trending Topic (TT)” personas ajenas a la Campaña pueden utilizar los Hashtags para unirse al dialogo, pudiendo ir en sentido opuesto a lo que se busca con la Campaña, o incluso afectándola por estos mensajes, por lo que los Usuarios entienden que BRANDME no será responsable en ningún caso por el tipo de mensajes u opiniones que se generen por terceros ajenos a BRANDME en las Campañas.

3.3. – A fin de facilitar la contratación de los servicios ofrecidos, el SITIO pone a disposición de los Usuarios del mismo un conjunto de herramientas informáticas que permiten, entre otros, el acceso a una gran variedad de ofertas de servicios y de proyectos, la selección de ofertas y proyectos en distintos ámbitos según múltiples parámetros de búsqueda, que coadyuven a los Usuarios a ponerse en contacto entre ellos para negociar las condiciones del Servicio.

3.4. – Los Anunciantes participantes crearán y listarán sus propias campañas publicitarias en EL SISTEMA ubicado en el SITIO www.brandme.la, mediante la cual ofrecen a los Creadores la oportunidad de recibir compensación a cambio de crear contenido online en distintas redes sociales que cumplan con los requerimientos establecidos en la Campaña. Cada Campaña deberá definir a través de EL SISTEMA las instrucciones deseadas (“Requerimientos”) y la compensación a ser pagada al Creador por su participación a través de EL SISTEMA de BRANDME. Los Anunciantes son responsables del contenido y de los Requerimientos. La falta de datos para iniciar una Campaña o la falta de Fondos para pagar las compensaciones respectivas, inhibirán el inicio de la operación de la Campaña, sin responsabilidad en ningún caso para BRANDME.

3.5. – Transparencia y divulgación.- A pesar de que BRANDME no requiere que los Creadores revelen a su audiencia que existe una relación comercial entre el Anunciante y el Creador creada por medio de BRANDME a través de EL SISTEMA, los Creadores tienen el derecho de indicar en su contenido online, si así lo desean, que dicha relación existe. Cualquier intento de instruir, coercer o manipular al Creador para que oculte la relación comercial entre el Anunciante, BRANDME, y el Creador puede resultar en su remoción de EL SISTEMA y de la cancelación de la Campaña, así como la retención de fondos disponibles como compensación para BRANDME y en su caso para otros Usuarios afectados.

Todos los Usuarios, Contratantes, Anunciantes e Creadores, aceptan cumplir con el Códigos de Ética del Usuario de BRANDME, así como cualquier código de conducta del Anunciante y del Creador que llegue a crear BRANDME, así como por lo que exijan las leyes mexicanas, y de cualquier otra nacionalidad donde opere EL SISTEMA.

3.6. – Los Anunciantes y los Creadores aceptan y se obligan a cumplir con las siguientes condiciones relativas las Campañas:

  1. Las Campañas no estarán disponibles de forma permanente y podrán limitarse u ofrecerse a un número limitado de Creadores, a discreción del Anunciante.
  2. Las Campañas deberán presentarse apropiadamente. El contenido de publicaciones inapropiadas serán removidos de www.brandme.la y los Creadores responsables serán dados de baja inmediatamente y de forma permanente de la Plataforma. Pudiendo BRANDME proceder en contra de dicho Usuario por los daños y perjuicios que genere, e inclusive autoriza el Creador a BRANDME a retener cualquier monto de Recompensas que tenga en EL SISTEMA, a efecto de que se compense el daño causado, lo anterior con independencia de las acciones legales que decida interponer BRANDME.
  3. Las Campañas no podrán presentarse bajo ninguna forma que:
    • Promueva o contenga material sexual explícito;
    • Promueva el uso de drogas ilegales;
    • Promueva la violencia o contenga material violento;
    • Promueva o contenga material difamatorio o calumnioso;
    • Promueva la discriminación o emplee prácticas o términos discriminatorios basados en raza, sexo, religión, nacionalidad, incapacidad, orientación sexual, edad o cualquier otro;
    • Promueva o implique actividades ilícitas o ilegales;
    • Incluya cualquier marca de BRANDME o sus afiliados; o
    • De cualquier manera viole derechos de propiedad intelectual de terceros.
  4. Las publicaciones de los Creadores deberán ser siempre en idioma ESPAÑOL, o en el idioma que en su caso se especifique en la Campaña respectiva, y los Creadores deberán utilizar sus propias palabras y crear contenido original, salvo que se especifique lo contrario en la Campaña o en el caso de que el Anunciante proporcione mensajes predefinidos al configurar la Campaña, siempre y cuando el Creador este dispuesto a unirse a estos mensajes predefinidos.

3.7. – Los Creadores podrán rechazar la inserción de publicidad de un determinado Anunciante, servicio o producto propuesto por el Anunciante, sin que ello suponga incumplimiento de estos TCUS.

De igual manera, las instrucciones para la creación del contenido serán propuestos por los Anunciantes, debiendo los Creadores, dar su consentimiento expreso o su rechazo con anterioridad a la publicación en su cuenta de Twitter y/o Facebook y/o alguna otra red social.

Los Anunciantes y los Creadores, serán los únicos responsables del contenido de los textos que se publiquen y se comprometen a que dichos textos no incluyan contenidos contrarios a los derechos de terceros, a las leyes, la moral o al orden público, y que las Campañas publicitarias se ajusten a los presentes TCUS, a los Requerimientos y a la normativa relativa a la publicidad, servicios de la sociedad de la información y el comercio electrónico, consumidores y usuarios, derecho de la competencia, así como a cualquier otra normativa que pudiera ser aplicable. En ningún caso, esta responsabilidad será de BRANDME.

3.8. – Revisión de Campañas.- BRANDME colaborará en la revisión e identificación del contenido que generen los Creadores, a efecto de coadyuvar y garantizar que se cumpla con los TCUS y con los Requerimientos de cada Campaña; podrá actuar como Mediador, previa solicitud de los Usuarios en pugna, para ayudarlos a resolver posibles disputas que se susciten dentro de las Campañas. Sin embargo la responsabilidad final en la aprobación de contenidos siempre será de los Anunciantes, a su discreción, quienes deberán determinar si un contenido en particular debe publicarse. En caso de que se de esta autorización, el Anunciante instruye a BRANDME para que realice la compensación correspondiente al Creador. Los contenidos de los Creadores que no cumplan con la ley, la moral, las buenas costumbres, estos TCUS, los Requerimientos de la Campaña o que no hayan sido autorizados por los Anunciantes no recibirán la compensación asociada con dicha Campaña.

3.9. – El Anunciante será en todo momento el responsable de revisar que el contenido de las publicaciones sea acorde a los Requerimientos indicados al momento de configurar la Campaña. El Anunciante se hace responsable del contenido si indica, al configurar la Campaña, que no desea revisar el contenido de los Creadores de forma previa a su publicación.

El Anunciante podrá, a través de EL SISTEMA, solicitar a los Creadores cambios en la redacción del contenido, siempre y cuando observe nuestros Códigos de Ética, y que dichos cambios se apeguen a los Requerimientos previamente establecidos por el Anunciante. El Anunciante podrá solicitar únicamente 2 cambios en la redacción del contenido a un mismo Creador en una misma Campaña. Si en el tercer intento de redacción, por parte del Creador, el Anunciante no está de acuerdo con el contenido creado, podrá retirar la participación de dicho Creador en esa Campaña específica. El Anunciante, bajo ninguna circunstancia, podrá limitar la participación de un Creador, previamente invitado a participar en la Campaña, por motivos raciales, de género, apariencia física, ideología política o espiritual, edad, género u orientación sexual. En el caso de que el Anunciante, después de solicitar 2 cambios de redacción del contenido, considere que el Creador viola estos TCUS, incumple los Requerimientos establecidos al configurar la Campaña o, a propósito obstaculiza la continuidad de la campaña, podrá reportar al Creador con BRANDME a través del mecanismo pertinente disponible en EL SISTEMA.

3.10. – El Anunciante acuerda que BRANDME no es responsable en ningún aspecto del contenido o producto a ser referido en el contenido de las publicaciones de los Creadores contratados para alguna Campaña. El Anunciante declara, garantiza y acuerda que:

  1. ) Toda la información provista o aprobada por el Anunciante, o en su representación, en relación a estos TCUS y en EL SISTEMA será actualizada para ser mantenida actual y precisa;
  2. ) El Sitio al cual referirán los hipervínculos a ser incluidos en las publicaciones deberá mostrarse substancialmente igual para todos los usuarios finales sin que influya su ubicación geográfica;
  3. ) Su sitio web no contiene ningún contenido licenciado por BRANDME, a menos que exista un acuerdo firmado con BRANDME.

El Anunciante reconoce que los Creadores de BRANDME son terceras personas independientes y no controladas por BRANDME. Como consecuencia, cualquier publicación que haga referencia a su contenido o producto(s) conllevará un riesgo negativo o posibles comentarios negativos acerca de su contenido, producto(s) u organización. El Anunciante específicamente reconoce que BRANDME no tiene ningún control sobre las publicaciones redactadas o publicadas, y que solamente el Anunciante es responsable (y asume todos los riesgos y responsabilidades) de determinar si el contenido de las publicaciones son apropiados y aceptables.

3.11. – Sin perjuicio de lo anterior, BRANDME quedará facultada para modificar en cualquier momento y sin previo aviso el diseño, imagen, presentación y configuración o funcionamiento, así como el contenido del SITIO y las funcionalidades incluidas en éste, eliminando, modificando, añadiendo nuevas o sujetándolas a condiciones específicas, sin que ello suponga alteración de los acuerdos o de la relación comercial entre BRANDME y el Usuario.

3.12. – Para poder acceder al servicio deberá contarse necesariamente con un equipo informático, con los programas y configuraciones necesarias para el adecuado funcionamiento del SITIO y con conexión a Internet. Los gastos relativos a la conexión serán por cuenta exclusiva del Usuario.

4.- Registro: Obtención del código de usuario y contraseña

4.1. – Para proceder a utilizar las funcionalidades y obtener la calidad de Usuario dentro de EL SISTEMA, será necesario ser mayor de edad y contar con la capacidad jurídica para obligarse en nombre de el Usuario. Adicionalmente deberá el Usuario realizar el registro siguiendo las instrucciones que para ello existen en el SITIO, accesibles a través de la opción “Registro”. En dicha opción el Usuario deberá definir si se registra como Anunciante o como Creador, y además de aceptar estos TCUS, deberá presentar toda la documentación, y firmar cualquier otro acuerdo o documento que para otorgar el Registro establezca BRANDME a través de EL SISTEMA y EL SITIO.

4.2. – El Usuario garantiza bajo su propia responsabilidad la exactitud de la información proporcionada, que deberá mantenerse actualizada en todo momento, eximiendo expresamente a BRANDME de las consecuencias y daños que la inexactitud de la misma pueda originar a terceros.

4.3. – Una vez cumplimentados todos los campos obligatorios, el Usuario acepta y reconoce que entra en un contrato con BRANDME a través de este procedimiento de registro en línea, al marcar la casilla de aceptación de estos TCUS en el registro, y al dar su aceptación por medio de Click-Wrap, esto es, aceptando el proceso de Registro con la casilla de los TCUS marcada. BRANDME podrá además enviar un enlace de activación por correo electrónico como verificación, o en caso de ser requerido por BRANDME, la firma de acuerdos y contratos adicionales, sean estos electrónicamente aceptados o firmados de manera autógrafa, todo lo anterior para que se liberen los códigos de acceso a EL SISTEMA por BRANDME. En todo momento el Usuario acepta y reconoce que deberá satisfacer todos los requisitos que imponga BRANDME para tener derecho de acceso a EL SISTEMA.

4.4. – El código de identificación de Usuario y la clave de acceso son totalmente personales e intransferibles, asignados única y expresamente para el Usuario, responsabilizándose el mismo frente a BRANDME y a terceros de la correcta utilización y de la no transmisión ni divulgación a terceras personas físicas y/o jurídicas que no sean dicho Usuario o persona expresamente facultada por él para contratar en su nombre.

4.5. – En el caso de cualquier pérdida o robo de las claves de acceso, uso no autorizado del SITIO o de los códigos, así como de cualquier violación de seguridad de la misma de la que haya tenido conocimiento el Usuario, éste se obliga a notificar dicha incidencia a BRANDME de inmediato. En este caso, el Usuario tendrá derecho a que se le dé otro código de identificación y otra clave para poder acceder al SITIO. La falta de este aviso a BRANDME la libera de cualquier responsabilidad por el mal uso que se puede dar de las claves de acceso a EL SISTEMA. Por otro lado, la negligencia en el cuidado de sus credenciales de acceso a EL SISTEMA por parte de el Usuario, que devengan en el uso no autorizado de las mismas y que da alguna manera causen daños, perjuicios o problemas legales a BRANDME u otros Usuarios, obliga a dicho Usuario a compensar los mismos. Por tanto los Usuarios instruyen en este acto a BRANDME a utilizar los fondos que tengan en EL SISTEMA o las Recompensas por cobrar para pagar cualquier daño que devenga del mal uso de sus credenciales de acceso a EL SISTEMA.

4.6. – El SISTEMA no asume la obligación ni dispone de los medios técnicos para comprobar la identidad de quienes se registran en el mismo. Por ello, el SITIO no será responsable en caso de usurpación de la identidad del Usuario.

4.7. – BRANDME se reserva el derecho a rechazar cualquier solicitud de registro cuyo contenido no se ajuste a las finalidades del SITIO.

4.8. – Registro de los Anunciantes:

  1. Elegibilidad de los Anunciantes.-
    1. ) Podrán registrarse como Anunciantes en la Plataforma de BRANDME, de forma enunciativa más no limitativa: Sociedades mercantiles; sociedades civiles; asociaciones; empresas paraestatales; instituciones gubernamentales; organizaciones no lucrativas; agencias de publicidad; agencias de medios y particulares.
    2. ) Queda estrictamente prohibido el registro a instituciones religiosas, partidos políticos y a organizaciones delictivas. Cualquier intento de registro de alguno de estos entes, así sea con información falsa, libera a BRANDME de cualquier obligación de servicio, y podrá cancelar la cuenta respectiva en el momento que se detecte ya sea la información falsa o la actividad restringida en este apartado.
    3. ) Queda estrictamente prohibido a los usuarios registrados como Anunciantes el utilizar en su nombre de usuario, o en cualquier otro campo, nombres, marcas o material protegido por las leyes de propiedad industrial o de derechos de autor mexicanas o extranjeras que no sean de su propiedad. BRANDME se reserva en todo momento el derecho de eliminar o suspender, a su discreción, la cuenta de cualquier Anunciante que infrinja este supuesto, cualquier ley aplicable, estos TCUS, la moral o las buenas costumbres.
    4. ) Los Anunciantes podrán contratar, bien directamente o bien a través de una Agencia de Publicidad (como Contratante y sujeto también a estos TCUS), campañas publicitarias con contenido promocionado en BRANDME.
  2. Panel de Control Independiente y Exclusivo.-

    BRANDME podrá facilitar a las Agencias de Publicidad que lo soliciten un Acceso Exclusivo mediante un Panel de Control dentro de sus cuentas como Anunciante en www.brandme.la que podrá ser personalizado y adaptado cuanto sea necesario, con el acuerdo previo con BRANDME. Mediante este Panel de Control podrán gestionar todas las campañas publicitarias de sus Anunciantes.

    Simultáneamente, los Anunciantes estarán disponibles en el Panel General de www.brandme.la y, por tanto, cualquier gestor de cuentas que legalmente le represente podrá proponer campañas publicitarias a dichos anunciantes conforme a estos TCUS. Simultáneamente, dichas cuentas estarán disponibles en el Panel General de www.brandme.la y, por tanto, cualquier Anunciante o marca podrá proponer campañas publicitarias a dichas cuentas conforme a estos TCUS.

  3. Elegibilidad de los Creadores.-
    1. ) A fin de poder participar en EL SISTEMA, el Usuario con calidad de Creador, al realizar su Registro en BRANDME, deberá registrar por lo menos dos cuentas de Redes Sociales de las que prevea en EL SISTEMA BRANDME, y deberá cumplir con los requerimientos mínimos de elegibilidad como Creador. BRANDME podrá rechazar la participación de ciertos Creadores a su sola discreción.

      El Creador podrá definir libremente los datos de identificación de su perfil, el tipo de anunciantes o marcas sobre las cuales desearían hacer publicidad, seleccionando las categorías que establezca para ello BRANDME en EL SISTEMA. En todo momento podrá a través de EL SISTEMA cambiar el Creador sus preferencias de Campañas o su información de Registro.

    2. ) BRANDME es autorizado por los Usuarios para poder clasificar a su sola discreción a los Usuarios que tengan la calidad de Creadores. Para efectos de estos TCUS, los Creadores son clasificados en cuatro clases: i) Creadores, ii) Creadores Pro, iii) Creadores Gold y iv) Creadores VIP (Celebridades). Todos y cada uno de los anteriores aceptan apegarse a estos TCUS, sin embargo, las Celebridades, deberán apegarse también a los Términos y Condiciones específicos que se establecen dentro de estos TCUS aplicables para ellos.
    3. ) El Creador declara, garantiza y acuerda que la información proporcionada por él es real y que se mantendrá actualizada para que se mantenga al corriente y precisa en todo momento.
  4. Métricas e Información de Desempeño.-

    BRANDME constantemente busca la manera más adecuada y precisa de estimar, calcular y medir el impacto de las publicaciones en la audiencia conformada por los Usuarios en las distintas redes sociales; sin embargo, el Anunciante acepta que toda la información que BRANDME muestre, a través de EL SISTEMA, puede verse afectada por factores ajenos al control de BRANDME, por esta razón el Anunciante libera a BRANDME de toda responsabilidad sobre los posibles errores, imprecisiones, fallas u omisiones en la información mostrada en la Plataforma, referente al desempeño de la Campaña, incluyendo clicks, impactos, retweets, replies, o cualquier otra información de desempeño.

5.- Código de conducta y términos de acceso y uso del SITIO.

  1. Usuarios que pueden usar EL SISTEMA.-

    Todos los Usuarios del SITIO deben ser personas con capacidad jurídica que hayan cumplido los 18 años de edad. Sólo pueden registrarse en EL SISTEMA de BRANDME, personas físicas o sociedades legalmente constituidas con capacidad para celebrar transacciones legales a través de su representante legal debidamente acreditado.

    El correcto comportamiento de los Usuarios es esencial para el buen funcionamiento del servicio. A continuación se detalla el código de conducta que éstos deberán tener para acceder y utilizar el SITIO, indicándose expresamente que el cumplimiento de lo descrito a continuación es condición esencial para la utilización del SITIO.

  2. Código de Conducta de Usuarios.-
    1. ) Los Usuarios declaran bajo su exclusiva responsabilidad que van a actuar cumpliendo con la normativa aplicable, de forma responsable, respetuosa, diligente y con total buena fe.
    2. ) En especial, el Usuario garantiza que los servicios que ofrece y que puede ser objeto de acuerdo con otros Usuarios no son ilegales, inmorales, prohibidos ni atentan o infringen derechos de terceros, y que cuenta con todas las autorizaciones y demás requisitos exigidos por el ordenamiento jurídico para desarrollar la actividad contratada.
    3. ) De igual modo el Usuario se compromete, bajo su sola responsabilidad, a suministrar información completa, exacta y veraz sobre su actividad empresarial y sobre los servicios que ofrece a través del SITIO así como, en su caso, sobre sus experiencias en relación a las transacciones realizadas con el resto de Usuarios.
    4. ) El Usuario tiene expresamente prohibido las siguientes conductas que se describen a continuación:
      • Crear identidades falsas, actuar en nombre de terceros sin el poder o legitimación suficiente y/o suplantar la identidad de otros.
      • Introducir datos falsos y/u ofertas ficticias, debiendo ser todas sus ofertas totalmente exactas y veraces.
      • Infringir derechos de terceros, en especial, derechos de propiedad industrial o intelectual.
      • Faltar a la verdad, falsificar documentos, firmas, infringir las leyes, reglamentos o normativa de aplicación
      • Introducir ofertas sobre cosas u objetos que estén fuera del comercio.
      • Registrarse y utilizar el SITIO sin tener la capacidad suficiente para ello.
      • Manipular o alterar las herramientas del SITIO para comercializar con terceros u otros Usuarios en forma distinta a la indicada en los TCUS.
      • No respetar las normas y procesos predeterminados para el acceso y uso del SITIO, emplear métodos que puedan causar daños al SITIO o a los sistemas de terceros.
      • Utilizar EL SITIO para fines distintos a los que le son propios.
      • Contactar con otros Usuarios del SITIO así como disponer de los datos facilitados por éstos para finalidades distintas de las establecidas en los TCUS y en las particulares que puedan regular el acceso a servicios ofrecidos a través del SITIO.
      • Enviar cartas en cadena y/o publicidad no solicitada, a menos que cuente con el consentimiento expreso del destinatario.
      • El Usuario acepta no transmitir a través del SITIO información ni comercializar con material, productos o servicios de ningún tipo o naturaleza que sea ilegal, injurioso, difamatorio, dañino, vulgar, obsceno o en cualquier otro modo censurable.
      • En el supuesto que el Usuario tenga acceso a información confidencial se compromete a utilizarla exclusivamente para las finalidades para las que se le fueron reveladas, siempre respetando dicha confidencialidad.
      • BRANDME, según su propio criterio, podrá dar por terminado el acceso al SITIO, de forma inmediata, y sin necesidad de comunicación previa, si la conducta del Usuario no fuera acorde con los presentes TCUS.
    5. ) Intercambio de información de contacto.

      BRANDME podrá proveer, a todos los Usuarios, una plataforma que incluya mensajería privada necesaria y suficiente para la negociación de cualquier proyecto. El Creador se compromete a informar inmediatamente a BRANDME si un Contratante o Anunciante le pretenda realizar pagos por fuera de EL SISTEMA de BRANDME.

      En caso de que el Anunciante o Contratante intente hacer transacciones fuera de la plataforma, pierde todas las garantías que BRANDME provee y se cerrara su cuenta de manera permanente sin aviso previo y sin responsabilidad para BRANDME.

    BRANDME podrá facilitar a las Agencias de Publicidad que lo soliciten un Acceso Exclusivo mediante un Panel de Control dentro de sus cuentas como Anunciante en www.brandme.la que podrá ser personalizado y adaptado cuanto sea necesario, con el acuerdo previo con BRANDME. Mediante este Panel de Control podrán gestionar todas las campañas publicitarias de sus Anunciantes.

    Simultáneamente, los Anunciantes estarán disponibles en el Panel General de www.brandme.la y, por tanto, cualquier gestor de cuentas que legalmente le represente podrá proponer campañas publicitarias a dichos anunciantes conforme a estos TCUS. Simultáneamente, dichas cuentas estarán disponibles en el Panel General de www.brandme.la y, por tanto, cualquier Anunciante o marca podrá proponer campañas publicitarias a dichas cuentas conforme a estos TCUS.

  3. Los Usuarios reconocen que la obligación de compensar por la participación de un Creador en alguna Campaña, se hará a través de EL SISTEMA. Para ello, será necesario que el Anunciante cuente con fondos suficientes debidamente depositados en EL SISTEMA. La falta de estos fondos, libera a BRANDME de cualquier responsabilidad con el arranque o seguimiento de cualquier Campaña.
  4. En razón de lo anterior, BRANDME mantendrá disponible para el Anunciante los mecanismos dentro de EL SISTEMA para que puedan transferir fondos para la operación de sus Campañas, ya sea a través de vinculación de cuentas bancarias, tarjetas de crédito o débito, cuentas de pago en línea, o cualquier otro mecanismo que permita la transferencia de dinero, presentes y futuras. BRANDME se obliga a resguardar esta información sensible conforme a lo señalado en el Aviso de Privacidad que tiene publicado en el SITIO.
  5. Los pagos que realice BRANDME a favor de los Creadores serán en cumplimiento de una Comisión Mercantil que mediante estos TCUS y cualquier otro contrato, otorga el Anunciante a BRANDME, por lo que no se entenderá en ningún momento que exista una relación laboral entre BRANDME y cualquiera de los Usuarios. Dichos pagos siempre deberá realizarse por instrucción expresa que realice el Anunciante conforme a los procesos que establezca EL SISTEMA.
  6. El Creador reconoce y acepta que:
    1. ) No presta un servicio personal subordinado a BRANDME ni a otros Usuarios.
    2. ) No es un empleado de BRANDME ni de otros Usuarios.
    3. ) Es responsable del pago de cualquier impuesto, federal, estatal o municipal, causado por o relacionado con el ingreso que perciba por participar en el Servicio;
    4. ) Deberá entregar una factura o comprobante fiscal autorizado, con desglose de Impuesto al Valor Agregado, por la prestación de su servicio y por el monto de su compensación cuando se superen los $1,000.00 (un mil pesos) mensuales;
    5. ) Para el Creador VIP (Celebridad) sin importar el monto deberá entregar factura o comprobante fiscal autorizado, con desglose de Impuesto al Valor Agregado, por la prestación de su servicio y por el monto de su compensación.
    6. ) Que cuenta con tres (3) meses para hacer llegar dichas facturas a BRANDME; de lo contrario, libera a BRANDME de la obligación y responsabilidad de efectuar la compensación correspondiente.
    7. ) Es responsable de reportar cualquier información requerida por el gobierno, ya sea federal, estatal o municipal;
    8. ) Es responsable de cumplir con cualquier ley o regulación aplicable.
  7. El Creador reconoce y acepta que es su responsabilidad, y de nadie más, el proporcionar su información bancaria personal, correcta, verdadera y necesaria para que BRANDME realice la transferencia electrónica bancaria correspondiente al pago de las compensaciones generadas por el Creador en caso de que realice publicaciones a través de EL SISTEMA. El Creador afirma que en ningún momento proporcionará la información bancaria de otra persona o entidad, y que de hacerlo acepta que BRANDME dé por terminada su cuenta y sus ganancias no le sean entregadas. De esta manera el Creador acepta y da permiso a BRANDME de realizar toda investigación legal necesaria para verificar la veracidad de su información. Asimismo, el Creador acepta que sus ganancias no sean entregadas en caso de que BRANDME deje de ofrecer el Servicio por incumplimiento a estos TCUS o a cualquier ley aplicable. BRANDME se obliga a resguardar esta información sensible conforme a lo señalado en el Aviso de Privacidad que tiene publicado en el SITIO.
  8. Precios y forma de pago

    BRANDME da la oportunidad a Creadores de vender contenido de sus redes por medio de EL SISTEMA, en donde el pago depende de cada contenido el cual tanto Anunciante como Creador lo establecen al llegar a un acuerdo en donde dicho pago se verá reflejado 30 días naturales después de la publicación del contenido patrocinado y se encuentre verificado, al mismo tiempo el Creador podrá solicitar el retiro de sus ganancias en cualquier momento en donde según el caso y el Plan en donde algunos casos de cobra un fee por pronto retiro >

    El Creador reconoce y acepta que BRANDME se reserva, en todo momento, el derecho a determinar, fijar o modificar, a su discreción, la compensación a pagar al Creador por las publicaciones que envíe a través de EL SISTEMA haciendo uso del Servicio. El Creador reconoce y acepta que BRANDME podrá emplear, a su discreción, cualquier medio que considere necesario para calcular la compensación por publicación, y que incluso podrá determinarlo arbitrariamente.

    Las campañas publicitarias se cobran online a través de Paypal, Stripe o empresas similares así como transferencias bancarias. Los datos facilitados por los Usuarios a tal fin serán tratados de forma confidencial conforme al Aviso de Privacidad disponible en el SITIO.

    El Creador puede acumular los pagos de sus participaciones dentro de la plataforma, aceptando que dicho monto tendrá un plazo de 2 años para ser retirado

    BRANDME emitirá liquidaciones mensuales que incluirán todos los ingresos efectivamente percibidos y el porcentaje que corresponda a los Creadores. Los pagos se realizarán mediante transferencia bancaria o Paypal (o método de pago similar). A tal efecto, los Creadores deberán facilitar a BRANDME los datos de una cuenta corriente activa. Los impuestos y cargas serán conforme a lo dispuesto por la legislación vigente y los Anunciantes e Creadores, serán responsables del cumplimiento de las obligaciones de carácter laboral, civil, mercantil, fiscal y del pago de la Seguridad Social de su propio personal que asigne para el desempeño de sus actividades, salvo lo establecido dentro de estos TCUS.

  9. Otorgamiento de Licencia.- El Creador otorga a BRANDME, y al Anunciante específico que configura la Campaña relacionada con la publicación, una licencia mundial, sin derecho a regalías, sub-licenciable, incondicional e intransferible para usar, desplegar, mostrar, reproducir, republicar y distribuir el contenido o una porción de éste a través de cualquier tipo de medio y a través de cualquier canal, presente o futuro, incluyendo, de forma no limitativa, televisión, radio, impresos, sitios de Internet y otras comunicaciones electrónicas.
  10. Creadores VIP (Celebridades con cuenta verificada)

BRANDME podrá otorgar esta calidad a cualquier Creador, después de determinar que su peso específico en alguna campaña o en varias campañas puede representar un beneficio mayor a el Anunciante. BRANDME utilizará sus propios algoritmos, los de otras plataformas, comentarios en redes sociales, o incluso en medios de comunicación, para determinar el otorgamiento de esta calidad. Dado que este Creador VIP recibirá mayor compensación por sus servicios, en todo caso, y como se ha establecido en estos TCUS, siempre deberá entregar factura o comprobante fiscal para recibir sus pagos. Esta calidad en todo momento es discrecional a favor de BRANDME, y no genera ningún derecho de antigüedad o preferencia a favor de los Creadores, por lo que puede ser otorgada o revocada en cualquier momento por BRANDME. Este tipo de Creador estará sometido a todas las obligaciones que tengan todos los Creadores dentro de estos TCUS.

6.- Enlaces entre páginas Web

6.1.- Aquellos Usuarios que pretendan establecer un hiperenlace entre su página web y el SITIO (en adelante, el hiperenlace) deberán contar con autorización expresa de BRANDME y cumplir con las condiciones siguientes:

  1. El hiperenlace únicamente permitirá el acceso a la home del SITIO, pero no podrá reproducirla de ninguna forma.
  2. No se creará un frame sobre las páginas del SITIO.
  3. No se realizarán manifestaciones o indicaciones falsas, inexactas o incorrectas sobre BRANDME, sus directivos, sus empleados y los servicios suministrados a través del SITIO.
  4. No se declarará ni se dará a entender que BRANDME ha autorizado el hiperenlace o que ha supervisado o asumido de cualquier forma los servicios ofrecidos o puestos a disposición desde la página web en la que se establece el hiperenlace.
  5. Excepción hecha de aquellos signos que formen parte del mismo hiperenlace, la página web en la que se establezca el hiperenlace no contendrá ninguna marca, nombre comercial, rótulo de establecimiento, denominación, logotipo, eslogan u otros signos distintivos pertenecientes a BRANDME.
  6. La página web en la que se establezca el hiperenlace no contendrá informaciones o contenidos ilícitos, contrarios a la moral y a las buenas costumbres generalmente aceptadas y al orden público, así como contenidos contrarios a cualesquiera derechos de terceros.

El establecimiento del hiperenlace (link) no implica, en ningún caso, la existencia de relaciones entre BRANDME y el propietario de la página web en la que se establezca, ni la aceptación y aprobación por parte de BRANDME de sus contenidos o servicios.

6.2.- BRANDME pone a disposición de los Usuarios enlaces o links con el fin de facilitar el acceso a la información, servicios y demás contenidos disponibles en Internet. Los enlaces o links habilitados en este SITIO pueden conducir al Usuario a otros sitios y páginas web gestionadas por terceros, sobre los que BRANDME no ejerce ningún tipo de control.

BRANDME no asume ningún deber de vigilar ni de verificar las informaciones o contenidos de los otros sitios o páginas web a los que se pueda acceder mediante los hiperenlaces existentes en el SITIO. BRANDME asume exclusivamente, el deber de suprimir del SITIO, con la mayor brevedad posible, las informaciones, contenidos o servicios que no correspondan con la realidad, atenten contra la moral, las buenas costumbres, cualquier normativa aplicable o que puedan inducir a error o causar daño al Usuario.

7.- Propiedad Industrial e Intelectual

7.1. – El Usuario reconoce expresamente, a todos los efectos, que la información, signos, imágenes, diseños, logotipos, animaciones, vídeos, textos, así como los demás elementos y contenidos, incluidos sus servicios y aplicaciones informáticas, del SITIO están sujetos a derechos de propiedad industrial e intelectual de BRANDME y/o de terceros titulares de los mismos que han autorizado debidamente su inclusión en el SITIO , por lo que no se les concede ningún tipo de derecho sobre ellos, salvo los que expresamente se reconozcan.

7.2. –.Los Usuarios que accedan al SITIO pueden visualizar la información contenida en el mismo y efectuar descargas o reproducciones privadas a su sistema informático, siempre que los elementos reproducidos no sean cedidos posteriormente a terceros o se instalen en un servidor conectado a Internet o a una red local.

7.3. – En consecuencia con lo dispuesto en el apartado anterior, el Usuario no estará facultado para, a título meramente enunciativo, distribuir, modificar, transformar, ceder poner a disposición del público o llevar a cabo cualquier otra actividad que no haya sido expresamente autorizada sobre los elementos y contenidos indicados anteriormente, incluidos los códigos informáticos de cualquiera de los elementos del SITIO.

7.4. – El Usuario será directamente responsable de todas las consecuencias, daños y perjuicios que se deriven para BRANDME y/o terceros de la infracción de cualquier obligación contenida en la presente cláusula.

7.5. – El Usuario que proceda al envío de cualquier tipo de contenido al SITIO, asegura que ostenta los derechos necesarios para hacerlo, quedando exento BRANDME de cualquier responsabilidad sobre el contenido y legalidad de la información ofrecida.

7.6. – La facilitación de contenidos por parte del Usuario a través del SITIO, supondrá la cesión a BRANDME con el carácter definido en estos TCUS de los derechos de explotación de propiedad intelectual e industrial de derivados de tales contenidos, con la máxima amplitud permitida por la legislación aplicable y conforme con estos TCUS.

7.7. – El Usuario reconoce a BRANDME el derecho de modificar los contenidos introducidos a fin de que se adecuen y sean compatibles con las características técnicas y estéticas del SITIO.

7.8. – Restricciones de ingeniería inversa, descompilación y desensamblaje. EL Usuario no podrá utilizar técnicas de ingeniería inversa, descompilar ni desensamblar EL SISTEMA, sus programas y componentes. EL SISTEMA se otorga bajo licencia como un producto único e indivisible. Sus partes y componentes no pueden separarse para ser usadas en forma distinta a lo que este contrato dispone. Fuera del uso de la API de EL SISTEMA que sea autorizado por BRANDME a algún Usuario para efecto de crear otro Mercado para Anunciantes, cualquier intento mediante el uso de programas automatizados, robots, o cualquier otro medio de recopilación de datos, contenido u otra información con el fin de violentar la integridad de EL SISTEMA o de sus componentes queda estrictamente prohibido. Cualquier manipulación de datos, código o de cualquier otro dato relevante o métrica utilizada y presente dentro de EL SISTEMA y sus Componentes de igual forma queda estrictamente prohibido. Cualquier intento no autorizado de cualquiera de estas actividades se perseguirá conforme a las leyes civiles y penales aplicables.

8.- Responsabilidad

8.1. – Sin perjuicio de las limitaciones establecidas en la legislación vigente, BRANDME no se responsabiliza por los daños y perjuicios de toda naturaleza que puedan deberse a la falta de exactitud, exhaustividad, actualidad, así como a errores u omisiones de los que pudieran adolecer las informaciones contenidas en el SITIO u otros contenidos a los que se pueda acceder a través del mismo.

8.2. – BRANDME no se hace responsable por los daños y perjuicios ocasionados por el uso indebido del servicio por parte de los Usuarios. Los Usuarios deberán abstenerse de realizar actos de cualquier tipo que contravengan la legislación aplicable.

8.3. – BRANDME no estará obligada a reparar los daños o perjuicios, directos o indirectos, que sean ocasionados por una información incompleta o incorrecta y no veraz, suministrada por los Usuarios del SITIO, así como tampoco se hace responsable del comportamiento de los Usuarios, de sus posibles incumplimientos y/o de las posibles situaciones de insolvencia en las que puedan encontrarse.

8.4. – BRANDME no estará obligada a reparar los daños o perjuicios, directos o indirectos, que sean consecuencia de servicios prestados por proveedores externos con las que BRANDME haya alcanzado acuerdos de colaboración o comerciales, en las que actúa únicamente como mero intermediario y que sean ajenos a la actividad propia del SITIO entre Usuarios registrados.

8.5. – BRANDME no garantiza la disponibilidad, continuidad ni la infalibilidad del funcionamiento del SITIO y en, consecuencia, excluye, en la máxima medida permitida por la legislación vigente, cualquier responsabilidad por los daños y perjuicios de toda naturaleza que puedan deberse a la falta de disponibilidad o de continuidad del funcionamiento del SITIO y de los servicios habilitados en el mismo, así como a los errores en el acceso a las distintas páginas web o a aquellas desde las que, en su caso, se presten dichos servicios.

8.6. – BRANDME declina toda responsabilidad por los daños informáticos o de otro tipo que pudiera ocasionar al Usuario visitante en el acceso a los contenidos del SITIO. Por ello, BRANDME no garantiza la ausencia de virus u otros elementos lesivos que pudieran causar daños o alteraciones en el sistema informático, en los documentos electrónicos o en los ficheros del Usuario o de terceros.

8.7. – En ningún caso será responsable BRANDME de los daños que pueda sufrir el Usuario en caso de que incumpla los presentes TCUS.

8.8. – El Usuario será el único responsable en relación con su actividad dentro de EL SISTEMA, tanto en lo relativo a la gestión, como en relación con el cumplimiento de la normativa vigente en todo lo que le resulte de aplicación en atención al tipo de actividad que desarrolla. A estos efectos, se entenderá por gestión, todas las actividades relacionadas con la prestación del Servicio, así como cualquier otra actividad relacionada con el modelo de transacción que lleve a cabo a través del SITIO.

8.9. – El Usuario será único y exclusivo responsable de los daños y perjuicios que se ocasionaren a BRANDME, a cualquier Usuario y/o tercero, que tengan causa en la mala fe, ilicitud, falsedad, inexactitud, falta de diligencia, incumplimiento de cualquier información, contenido y/o del objeto de cualquier transacción, compromisos o acuerdos que asuma con otro Usuario o Usuario a raíz de la utilización del SITIO o que se derive de la misma.

8.10. – Si BRANDME fuera declarada responsable de cualquier daño o perjuicio con causa a los anteriores extremos en un procedimiento judicial o extrajudicial, por un Juzgado, Tribunal o Ente Público administrativo competente, podrá repetir contra el Usuario todas las cantidades que haya tenido que abonar y soportar, incluido el daño emergente y el lucro cesante, y cualquier coste o gravamen que hubiera tenido que afrontar, incluidos impuestos, tasas, abogados, procuradores, peritos, arbitrajes, viajes, estancias, y cualquier otro.

8.11. – BRANDME se reserva el derecho de comunicar la información confidencial que los Usuarios le hayan comunicado cuando venga impuesto por ley, reglamento, normativa, ordenanza y/o cualquier otro mandato legal, judicial o solicitud gubernamental.

9.- Protección y funcionamiento del SITIO

9.1. – BRANDME, mantendrá operativo el SITIO durante todo el año, las 24 horas del día, siempre que el estado de la técnica lo permita.

9.2. – Asimismo, BRANDME se reserva el derecho de modificar o interrumpir, en todo o en parte, el acceso a EL SISTEMA temporalmente, cuando lo requiera el servicio de mantenimiento, actualización o reparación del sistema o el servidor de Internet, sin necesidad de haberlo notificado al Usuario.

9.3. – Si el Usuario detectara alguna anomalía, interferencias de terceros, errores del SISTEMA o mal funcionamiento del SITIO, deberá notificarlo a BRANDME para que esta proceda a su solución.

10.- Baja del servicio.

Para darse de baja de la plataforma, es necesario enviar un correo electrónico a la dirección [email protected], indicando los motivos por los que se quiere dejar de usar el servicio.

11.- Cookies y otras tecnologías.

Cuando usted visita sitios web en Internet, su navegador automáticamente puede transmitir información a los sitios web que visita durante cada visita. Al igual que muchos sitios web, podemos usar “cookies” para recoger información. Una cookie es un pequeño archivo de datos que transferimos al disco duro de su computadora para propósitos de registro. Podemos utilizar cookies persistentes que sólo www.brandme.la sabe leer y utilizar para guardar la información de inicio de sesión para las conexiones futuras con el Servicio, para ayudar en el procesamiento de información, para mantener la información de sesión, y para rastrear las preferencias del usuario. Podemos utilizar las cookies de identificación de sesión para habilitar determinadas características del Servicio, para entender mejor la forma de interactuar con el SITIO y para controlar el uso global de nuestros usuarios y el tráfico de enrutamiento en el Servicio, y para identificar las áreas visitadas del Sitio y Servicios. A diferencia de las cookies persistentes, las cookies de sesión se borran de su equipo cuando se cierre la sesión en el SITIO y cierra su navegador. Los anunciantes de terceros en el Sitio también puede colocar o leer cookies en su navegador y podemos utilizar las cookies de Flash (u objetos locales compartidos) para almacenar sus preferencias o el contenido de visualización basado en lo que usted ve en el SITIO para personalizar su visita. Puede indicar a su navegador, cambiando sus opciones, dejar de aceptar cookies o para que le avise antes de aceptar una cookie en los sitios web que visite. Si usted no acepta cookies, sin embargo, usted no será capaz de utilizar todas las partes o todas las funcionalidades del Servicio. Podrán utilizar un “pixel tag” para recopilar información anónima sobre sus visitas a este SITIO y otros sitios web, y pueden utilizar esa información para determinar que anuncios sobre bienes y servicios pueden ser de su interés de acuerdo a su localización. Esta información se recoge de forma anónima, de una manera que no lo identifica personalmente.

12.- Legislación Aplicable y Jurisdicción.

El acceso y utilización del SITIO así como la interpretación, cumplimiento y ejecución de las presentes TCUS se sujetará a lo establecido por la legislación Mexicana, y en caso de controversia, el Usuario acepta someterse para la interpretación y cumplimiento de estos TCUS a lo establecido por el Código de Comercio Mexicano, así como a las reglas internacionales que al efecto ha establecido la Cámara de Comercio Internacional, así como la Convención sobre el Reconocimiento y la Ejecución de las Sentencias Arbitrales Extranjeras (Convención de Nueva York) de 1958, y se someten expresamente a la jurisdicción y competencia de un tribunal arbitral el cual se constituirá conforme a las reglas que para el efecto se establecen en los acuerdos internacionales respectivos, y en específico a lo señalado al respecto por las directrices establecidas al efecto por la Cámara Internacional de Comercio en cuanto a las reglas de arbitraje establecidas por esta, y acorde a lo siguiente:

12.1. – Cualquier disputa será decidida por un panel arbitral integrado por tres árbitros.

12.2. – Cada PARTE nombrará un árbitro y el tercero será nombrado por los dos árbitros nombrados por las partes y este Tercer Arbitro actuará como Presidente del Panel Arbitral.

12.3. – Cualquier reclamo presentado por una parte, deberá realizarse conforme a las reglas y bajo las causales de rescisión establecidas dentro de estos TCUS y las reglas que al efecto se establezcan en las leyes aplicables.

12.4. – El reclamante deberá notificar por escrito sobre su intención de someter la disputa a Arbitraje, de acuerdo con los términos establecidos para la comunicación entre LAS PARTES convenidas en estos TCUS y EL SISTEMA.

12.5. – Las PARTES acuerdan que la ubicación para realizar el arbitraje queda a libre determinación de BRANDME, y los costos deberán pagarse por LA PARTE que inicie el arbitraje. En caso de obtener un Laudo favorable, deberá cubrir LA PARTE condenada el costo del proceso.

12.6. – Solo se admitirán pruebas documentales y testimonios de peritos para establecer los hechos del caso.

12.7. – El nombramiento de Árbitro solo podrá ser recusado en los primeros tres días siguientes al señalamiento por cada parte del nombramiento, y forzará a la otra parte a nombrar un nuevo Arbitro. Este derecho a LAS PARTES sólo podrá ejercerse en dos ocasiones. Si alguna PARTE no estuviera conforme con el tercer arbitro nombrado, se forzará por una sola ocasión a que los otros dos Árbitros señalen uno sustituto.

12.8. – Se celebrará una audiencia para desahogar pruebas periciales que se presentaran para acreditar calidad, pesos o medidas en cuanto a las operaciones realizadas.

12.9. – El Laudo deberá ser emitido en dos semanas después de iniciado el proceso.

12.10. – LAS PARTES acuerdan en que no será posible impugnar el Laudo que se emita.

12.11. – LAS PARTES acuerdan en que el Laudo será plenamente ejecutable en los territorios de los países que residan o trabajen para efectos de este contrato, y que tendrá la calidad de convenio de transacción.

12.12. – El Arbitraje será en español.

13.- Ley para la Transparencia en Publicidad dentro de México

Todos los usuarios que se registren como ” Creadores de Contenido ” o “Influencers” al aceptar estos términos y condiciones aceptan y autorizan que ” BRANDME ” figure como su tutor legal ( mandato ) mientras dure la colaboración entre una marca que lo patrociné y su colaboración en donde dentro de la plataforma de ” BRANDME ” tanto la marca como la marca tendrá la información del registro del monto de la colaboración, la fecha de la misma y el histórico del contenido de colaboración mutua.

Notwithstanding the foregoing, BRANDME’s use and transfer of information received from Google APIs to any other app will adhere to Google API Services User Data Policy, including the Limited Use requirements. By using the YouTube API Services, you are agreeing to be bound by the YouTube Terms of Service. Collecting and Using Your Personal Information

BRANDME collects personal information that is voluntarily provided when users sign up for an BRANDME site or service, fill out a form, engage with a chatbot, connect a third-party platform, or enter a promotion. Specifically, when you sign up for our Platform through one of our Sites or interact with our widgets and bots (including Shakebot), we ask you for personal information such as your name, address, social media connections, and email address. We may also request payment account information (such as PayPal or a credit card) which is encrypted and provided to third parties for the purpose of processing payment(s).

In addition, BRANDME collects supplemental data from public sites, IP addresses, and connected social media channels (via an API for which you can select the types of information BRANDME may access), to create a more robust user profile and increase the odds that a marketer will locate your profile for content opportunities.

As a Creator agreeing to the Terms of Service and Privacy Notice when creating an account on our Site(s), you express consent to the access and collection of data and content from the social media accounts you have connected, including followers, friend lists, photos, videos, or similar content published through those social media accounts. You have the option to change these choices made at registration, at any time. However, the decision to disconnect a social media account will not remove content or data previously gathered under your authorization.

BRANDME will process the data acquired through your social media accounts to identify you and present your profile as a Creator to Marketers with access to our Site(s), so that they may offer you Opportunities within the Platform or using the Discovery feature. BRANDME may also use the data associated with your profile, including metrics, images, videos, and content, to promote or market BRANDME and its products and services.

As a Marketer agreeing to the Terms of Service and Privacy Notice when creating an account on our Site(s), upon registration you will be asked to provide an email address, establish a password, and provide payment account information. This data is required in order to make our services available to you.

As a user of the Site(s), we may communicate with you using the email address you have provided, for purposes such as providing you with Opportunities, delivering support to enhance your user experience, communicating news about BRANDME or features and functionalities of the Platform, or presenting you with surveys or commercial offers you may be interested in. You may control your email preferences within your account in the Platform.

When you access our Site(s), we may collect information to include your name, company name, email address, mailing address, and other information you provide when engaging with our chatbot. These interactions are subject to our Privacy Notice. By carrying on a written conversation with our chatbot, you consent to receiving communications from the bot and to the processing and maintenance of your conversation via Hubspot in accordance with any terms of use or privacy notice that may apply in connection with that platform. Because our chatbot utilizes artificial intelligence to communicate with you, it may provide information that is an inaccurate response to your requests in its interactions with you. You agree that BRANDME shall not be liable to you or any third party for our chatbot providing inaccurate information to you.

Should you integrate your account with Shopify or Google, you are also agreeing to be bound by the following: Google Privacy Policy (as well as Google’s security revocation site, Google Security Settings); Shopify Terms of Service and Privacy Policy. You understand that it is possible for the content of e-mail communications sent or received via Google’s Gmail integration to be viewable by BRANDME for purposes of support, dispute resolution, and troubleshooting, and you acknowledge that emails (excluding attachments) will continue to be stored on the platform unless you manually choose to delete the same.

Collecting and Using Your Aggregate Information

BRANDME also aggregates information that, by itself, does not identify who you are, such as frequency of visits to the Sites, search terms entered, browser type, etc. BRANDME uses the aggregated information to provide its services and remuneration, as well as to determine the use of our Sites and to monitor, audit and analyze information pertaining to our business metrics.

Sharing, Selling and Trading of Your Personal Information Collected Online with Third Parties

BRANDME does not share, rent, sell or disclose personal information to third parties, except as described in this Privacy Notice. BRANDME shares personal information with our affiliated entities and subsidiaries, with Marketers, and with third-party service providers such as payment processing companies, ad services, payment recovery services, data providers, data analytics providers, and background checking services. These Marketers and third-party service providers are not authorized to retain, share, store or use your personal information for any purposes other than the purpose for which it was transferred (such as, to provide the services for which they have been hired to provide, to offer you opportunities within the Platform(s), or to provide Opportunities outside of the Platform as permitted via features such as Discover), without your express consent. In addition, in order to protect against potential fraud, we may verify with third parties the personal information you provide when you sign up for an account or when you participate in certain features or programs offered through our Sites. In the course of such verification, we may receive personal information about you, which will be shared with such third parties. We do not sell, trade or otherwise share your personal information with unrelated third parties for their own marketing purposes.

In the following circumstances, BRANDME may elect to share or transfer your personal information to unrelated third parties: (i) to comply with a legal requirement, regulation, judicial proceeding, court order, or legal process served on BRANDME, (ii) to investigate a possible crime, such as fraud or identity theft; (iii) in connection with the sale, purchase, merger, reorganization, liquidation or dissolution of BRANDME; (iv) when we believe it is necessary to protect the rights, property, or safety of BRANDME or other persons, (v) to enforce your agreements with us, including the Terms of Service or Privacy Notice, or to respond to claims that your use of the Marketplace Services violates any third-party rights or applicable law; or (vi) as otherwise required or permitted by law.

It should be noted that on some portions of the Sites, users can choose to have their personal information displayed. If users choose to have their personal information displayed on the Site(s), they will be given forewarning that the action they are about to take will make their personal information publicly available on the Site(s).

Sharing, Selling and Trading Aggregate Information Collected Online with Third Parties

We may share, sell or trade with third parties aggregated, non-personal information, such as the number of users who searched for a particular term, for example, or how many users clicked on a particular advertisement. As stated earlier, such information does not identify you individually.

Contests/Sweepstakes

From time-to-time, we may request information from users of our Sites in connection with a contest or a sweepstakes. Participation in these contests or sweepstakes is completely voluntary and the user therefore has a choice whether or not to disclose this information. Our Sites are not directed to children and we will not request personally identifiable information from anyone who we know to be under the age of 18, unless we have obtained verifiable parental consent from a parent or legal guardian. If we become aware that a user under the age of 13 has registered with any of our Sites, provided personally identifiable information, and BRANDME has not obtained prior verifiable consent from a parent or legal guardian, we will immediately remove the user’s personally identifiable information from our files.

Links to Other Websites

(“BRANDME”) owns and operates BRANDME Exchange (“BRANDMEx” or “Platform”), an online marketplace that connects marketers with content creators (the “Marketplace Services”) on a variety of sites hosted by BRANDME and operated by BRANDME or its partners (the “Sites”).

BRANDME is a member of the BRANDME Exchange and provides you, and, if applicable, your affiliates, access to its Marketplace Services.

Access by California residents to the Marketplace, Sites, and any features, is made available under this California Privacy Notice (which supplements our Privacy Notice), and the Terms of Service. Iterations of the BRANDME Exchange licensed by unaffiliated third parties (“Partners”) will be governed by the Terms of Service, Privacy Notice, and this California Privacy Notice (as applicable).

BRANDME uses collected personal information for its primary business purpose of providing advertising services, and all related purposes, including matching Creators with Marketers for advertising and marketing opportunities.

We may collect information to include your name, company name, email address, mailing address, and other information you provide when engaging with our chat bots (including Shakebot). These interactions are subject to our Privacy Notice. By carrying on a conversation with a bot, you consent to receiving communications from the bot and to the processing of your conversation via Hubspot in accordance with any terms of use or privacy notice that may apply in connection with that platform. Because the bot utilizes artificial intelligence to communicate with you, it may provide information that is an inaccurate response to your requests in its interactions with you. You agree that BRANDME shall not be liable to you or any third party for a bot providing inaccurate information to you.

BRANDME may also use personal information as described to you when collecting your personal information or as otherwise set forth in the CCPA or to: communicate with you, provide you with Opportunities, to fulfill or meet the reason for which the information is provided, deliver support to enhance your user experience, improve our Sites, perform troubleshooting, testing, research, and analysis, respond to your inquiries, communicate news about BRANDME or features and functionalities of the Platform, present you with surveys or commercial offers you may be interested in, carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collections, protect the rights, property, or safety of BRANDME or its customers or others, or respond to law enforcement or legal requests as required by applicable law, court order, or governmental regulations. BRANDME Does Not Sell Your Personal Information

BRANDME may disclose your personal information to a third party pursuant to a business purpose of providing advertising services, and all related purposes, including matching Creators with Marketers for advertising and marketing opportunities. When BRANDME discloses your personal information for a business purpose, we enter a contract that describes the purpose and requires the recipient to both keep that personal information confidential and not use it for any purpose except performing the contract.

BRANDME shares your personal information third party service providers, affiliates, and third parties to whom you or your agents authorize us to disclose your personal information in connection with products or services we provide to you.

In the preceding twelve (12) months, we have disclosed the following categories of personal information for a business purpose:

Category A: Identifiers.
Category C: Protected classification characteristics under California or Federal law.
Category F: Internet or other similar network activity.
Category I: Professional or employment-related information.
Category K: Inferences drawn from other personal information.

Your Rights and Choices

The CCPA provides consumers (California residents) with specific rights regarding their personal information. This section describes your CCPA rights and explains how to exercise those rights.

Access to Specific Information and Data Portability Rights

You have the right to request that BRANDME disclose certain information to you about our collection and use of your personal information over the past 12 months. Once BRANDME receives and confirms your verifiable consumer request, we will disclose to you:

·The categories of personal information we collected about you.

·The categories of sources for the personal information we collected about you.

·Our business or commercial purpose for collecting or selling that personal information.

·The categories of third parties with whom we share that personal information.

·The specific pieces of personal information we collected about you (also called a data portability request).

·If we disclosed your personal information for a business purpose, two separate lists disclosing:

·       sales, identifying the personal information categories that each category of recipient purchased; and

·       disclosures for a business purpose, identifying the personal information categories that each category of recipient obtained.

Deletion Request Rights

You have the right to request that BRANDME delete any of your personal information that we collected from you and retained, subject to certain exceptions. Once we receive and confirm your verifiable consumer request, we will delete (and direct our service providers to delete) your personal information from our records, unless an exception applies. BRANDME may also deidentify (anonymize) or aggregate data, at which point it shall no longer be deemed personal information subject to a deletion request.

BRANDME may deny your deletion request if retaining the information is necessary for us or our service provider(s) to:

·Complete the transaction for which we collected the personal information, provide a good or service that you requested, take actions reasonably anticipated within the context of our ongoing business relationship with you, or otherwise perform our contract with you.

·Detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities.

·Debug products to identify and repair errors that impair existing intended functionality.

·Exercise free speech, ensure the right of another consumer to exercise their free speech rights, or exercise another right provided for by law.

·Comply with the California Electronic Communications Privacy Act (Cal. Penal Code § 1546 et. seq.).

·Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information’s deletion may likely render impossible or seriously impair the research’s achievement, if you previously provided informed consent.

·Enable solely internal uses that are reasonably aligned with consumer expectations based on your relationship with us.

·Comply with a legal obligation.

·Make other internal and lawful uses of that information that are compatible with the context in which you provided it.

Exercising Your Rights

To exercise the access, data portability, and deletion rights described above, please submit a verifiable consumer request to BRANDME by sending us an email to [email protected] or via regular mail to Data Protection Officer, Río Volga 89 – PH, Cuauhtémoc, Cuauhtémoc, Ciudad de México, México, CP06700. Only you, or a person registered with the California Secretary of State that you authorize to act on your behalf, may make a verifiable consumer request related to your personal information. You may also make a verifiable consumer request on behalf of your minor child.

You may only make a verifiable consumer request for access or data portability twice within a 12-month period. The verifiable consumer request must:

·Provide sufficient information that allows us to reasonably verify you are the person about whom we collected personal information or an authorized representative.

·Describe your request with sufficient detail that allows us to properly understand, evaluate, and respond to it.

BRANDME cannot respond to your request or provi

de you with personal information if we cannot verify your identity or authority to make the request and confirm the personal information relates to you. Making a verifiable consumer request does not require you to create an account with us. We will only use personal information provided in a verifiable consumer request to verify the requestor’s identity or authority to make the request.

Responding to Your Requests

BRANDME endeavors to respond to a verifiable consumer request within forty-five (45) days of its receipt. If we require more time (up to 45 additional days), we will inform you of the reason and extension period in writing. If you have an account with us, we will deliver our written response to that account. If not, we will deliver our written response by mail or electronically, at your option. Any disclosures we provide will only cover the 12-month period preceding the verifiable consumer request’s receipt. The response we provide will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide your personal information that is readily useable and should allow you to transmit the information from one entity to another entity without hindrance, specifically by electronic mail communication.

BRANDME does not charge a fee to process or respond to your verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded. If we determine that the request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request.

BRANDME’s Non-Discrimination Policy

BRANDME will not discriminate against you for exercising any of your CCPA rights. Unless permitted by the CCPA, we will not:

·Deny you services.

·Charge you different prices or rates for services, including through granting discounts or other benefits, or imposing penalties.

·Provide you a different level or quality of services.

·Suggest that you may receive a different price or rate for services or a different level or quality of services.

·

III. Changes to this Notice

 

BRANDME reserves the right to amend or alter this Notice at our discretion and at any time. When we make changes to this Notice, we will post the updated notice on our website and update the Notice’s effective date. Your continued use of the Sites following the posting of changes constitutes your acceptance of such changes.

De conformidad con lo dispuesto en la Ley Federal de Protección de Datos Personales en Posesión de los Particulares en México, y en su caso, sus correlativos en otros países (en adelante LA LEY), se informa que los datos personales recabados a través de la plataforma y aplicaciones del sistema BRANDME (EL SISTEMA) que realiza EL USUARIO, quedan bajo resguardo y responsabilidad de BRANDME CROWDMARKETING, S.A.P.I. de C.V. (BRANDME); la cual realiza el manejo de dichas bases de datos bajo la más estricta confidencialidad, de conformidad a las políticas y procedimientos de seguridad que para tal efecto implementó BRANDME, y tratará y resguardará sus datos personales con base en los principios de licitud, calidad, consentimiento, información, finalidad, lealtad, proporcionalidad y responsabilidad consagrados en la Ley Federal de Protección de Datos Personales en Posesión de los Particulares. BRANDME se toma muy en serio la protección de su privacidad y de sus datos personales. Por lo tanto, su información personal se conserva de forma segura y se trata con el máximo cuidado. BRANDME, se compromete a que los datos de carácter personal solicitados serán los estrictamente necesarios para llevar a cabo el servicio demandado. Se le informará en su caso de la obligatoriedad de facilitar determinados datos, sin los cuales no sería posible llevar a cabo la prestación del servicio.

I. FINALIDAD DEL TRATAMIENTO DE LOS DATOS PERSONALES

El tratamiento de los datos personales proporcionados por todos los usuarios de EL SISTEMA, ya sean Influenciadores, Anunciantes, o cualquier persona que ingrese datos en la misma (en adelante “EL USUARIO”), tienen como finalidad regular el acceso y el uso del servicio del Sitio Web http://www.brandme.la/ (en adelante, el “Sitio Web”), y de todo el uso relacionado con EL SISTEMA que BRANDME pone a disposición de EL USUARIO de Internet interesados en los servicios (en adelante, los “Servicios”) y contenidos (en adelante, los “Contenidos”) alojados en el Sitio Web, de conformidad con los Términos y Condiciones de uso de EL SISTEMA, así como respecto a todo Contrato suscrito entre BRANDME y EL USUARIO (en adelante “EL CONTRATO”). BRANDME a través de EL SISTEMA recaba tres tipos de información de EL USUARIO a través de EL SISTEMA:

  1. “Información Personal” la cual según sea el caso puede incluir pero no se limita a:
    1. Nombre Completo o Razón Social.
    2. Fecha de nacimiento o constitución.
    3. Edad.
    4. Lugar de nacimiento.
    5. Lugar de residencia o sede principal de su negocio.
    6. Teléfono de contacto
    7. Correo electrónico.
    8. Ocupación o giro.
    9. Género.
    10. Nivel académico y estudios universitarios.
    11. Intereses.
    12. Nivel socioeconómico

    Se hace saber a EL USUARIO que la Información Personal recabada a través de EL SISTEMA se utilizará únicamente para los fines concretos relacionados con la operación de BRANDME, y para ello se relaciona de manera enunciativa, más no limitativa lo siguiente:

    1. Desarrollo de campañas publicitarias en línea.
    2. Comunicación y vinculación entre BRANDME, Anunciantes e Influenciadores.
    3. Seguimiento a campañas.
    4. Retroalimentación relacionado con campañas publicitarias.
    5. Como resultado de la mejora de la experiencia obtenida a través de la Información Agregada.
  2. “Información Sensible” la cual puede incluir su Clave Bancaria Estandarizada, Registro Federal de Contribuyente (RFC), Clave Única de Registro de Población (CURP), datos de tarjetas de crédito, débito o bancarias, así como cuentas de pago en línea. Esta información será custodiada y utilizada conforme se establece en el punto II del presente Aviso de Privacidad.
  3. “Información Agregada” la cual incluye pero no se limitará a la frecuencia de visitas a cualquiera de los Sitios Web que conforman EL SISTEMA, los términos de búsqueda introducidos, las páginas del Sitio de acceso más frecuentes, tipo de navegador utilizado, datos de sus redes sociales, entre otras, también conocidos como Meta-datos. Esta Información Agregada no es identificable con su persona. La Información Agregada es recolectada de forma automática cuando los usuarios visitan las páginas que integran los Sitios. La Información Agregada es utilizada de forma colectiva o agregada con el fin de monitorizar, auditar y analizar la información relativa a los indicadores de nuestro negocio.

Esta Información Agregada se recaba en un esfuerzo para mejorar la experiencia en los Sitios y para que BRANDME pueda comunicarse con EL USUARIO acerca de la información que solicite. También se autoriza su uso para ayudar a dirigir servicios u ofertas específicas para EL USUARIO, para ayudar a desarrollar y mejorar EL SISTEMA, para mejora de Servicios y para adaptar los Sitios a los intereses de EL USUARIO.

Se le informa que sus datos personales de contacto serán incorporados a un fichero automatizado y utilizados para remitirle Newsletters y comunicaciones comerciales y promocionales relacionadas con los servicios de BRANDME, y de los Anunciantes, por carta, teléfono, correo electrónico, SMS/MMS, o por otros medios de comunicación electrónica equivalentes; lo anterior al amparo de lo establecido en los artículos 11 al 13 de la Ley Federal de Protección de Datos Personales en Posesión de Particulares, y sus correlativos en otros países, entendiéndose como parte de la finalidad del servicio ofrecido.

II. TRATAMIENTO DE DATOS SENSIBLES

EL USUARIO podrá incorporar en EL SISTEMA información sensible de su propiedad, como pueden ser datos de tarjetas bancarias o de crédito, cuentas en Internet para hacer pagos, o mecanismos electrónicos de pago. BRANDME se obliga, conforme a lo señalado por el artículo 9 de la Ley, a custodiar dicha información y asegurarse que la misma se utilice única y exclusivamente para efectuar transferencias bancarias a EL USUARIO en relación con las compensaciones a recibir por su posible participación en algunos de los Servicios. Esta información será tratada de forma estrictamente confidencial y almacenada de forma cifrada en servidores seguros y por tanto, BRANDME se obliga a no revelarla ni compartirla con terceros, salvo instrucciones concretas y claras al respecto que reciba de EL USUARIO. EL USUARIO entiende que al introducir dicha información a las bases de datos de EL SISTEMA, acepta que BRANDME custodie dicha información sensible para los fines señalados en EL CONTRATO y de acuerdo con los términos y condiciones de EL SISTEMA y sus aplicaciones.

III. CARÁCTER OBLIGATORIO O FACULTATIVO DE LA INFORMACIÓN FACILITADA POR EL USUARIO Y VERACIDAD DE LOS DATOS

El Usuario garantiza que los datos personales facilitados son veraces y se hace responsable de comunicar a BRANDME, cualquier modificación de los mismos. El Usuario responderá, en cualquier caso, de la veracidad de los datos facilitados, reservándose BRANDME, el derecho a excluir de los servicios registrados a todo Usuario que haya facilitado datos falsos, sin perjuicio de la demás acciones que procedan conforme a Derecho.

Se recomienda tener la máxima diligencia en materia de Protección de Datos mediante la utilización de herramientas de seguridad, no pudiéndose responsabilizar a BRANDME, de sustracciones, modificaciones o pérdidas de datos ilícitas por fallas de seguridad por parte de EL USUARIO.

IV. REGISTRO A TRAVÉS DE CUENTAS DE OTROS PROVEEDORES

En caso de que BRANDME permita el registro o acceso a EL SISTEMA desde cuentas que pueda tener EL USUARIO con otros proveedores de servicios, tales como “servicios de redes sociales” o cuentas de terceros, como es el caso de Facebook, Twitter, Instagram y Google +, o cualquier otro portal que contenga información de EL USUARIO, la vinculación con BRANDME se podrá hacer de dos formas:

  1. Proporcionando a BRANDME la información de acceso a su cuenta de terceros a través de EL SISTEMA, el Sitio Web o en su caso alguna aplicación creada por BRANDME;
  2. Permitiendo a BRANDME el acceso a su cuenta de terceros, tal y como permitan los términos y condiciones que regulan el uso de cada cuenta de terceros;

Para lo anterior, EL USUARIO declara que tiene derecho a transmitir a BRANDME la información de acceso a su cuenta de terceros y/o conceder a BRANDME el acceso a su cuenta de terceros sin que ello suponga el incumplimiento de los términos y condiciones que rigen el uso de la cuenta de terceros y sin obligar a BRANDME a pagar ninguna cuota o imponerle a BRANDME limitaciones de uso impuestas por el servicio de redes sociales o del portal aplicable.

Si EL USUARIO decide registrarse en BRANDME con una cuentas de otro proveedor, conforme a lo especificado en el párrafo anterior, BRANDME obtendrá acceso a la información personal que EL USUARIO haya consentido entregar al servicio de redes sociales o portal correspondiente (tales como su nombre real, correo electrónico, foto de perfil, nombres de amigos del servicio de redes sociales correspondiente, los nombres de los grupos de servicios de redes sociales a los que pertenece, otra información que pone a disposición pública a través de dicho servicio de redes sociales y/o otra información a la cual se ha autorizado a BRANDME a disponer mediante la autorización al servicio de redes sociales o portal a proporcionar dicha información) de sus cuentas personales en portales de terceros y utilizar dicha información para crear la cuenta en BRANDME.

Dependiendo del tipo de cuenta en portales de terceros que EL USUARIO utilice para darse de alta en BRANDME y según las opciones de privacidad que haya configurado en dichas cuentas en portales de terceros, EL USUARIO entiende que mediante la concesión de acceso que da a las cuentas en portales de terceros, BRANDME tendrá acceso, y si dicho servicio lo permite podrá poner la información de las cuentas en portales de terceros de forma que esté disponible en y a través de su cuenta de BRANDME tanto en el Sitio Web, como en aplicaciones y servicios respectivos. Si existe información sobre los amigos o personas con los que se relaciona EL USUARIO en su cuenta en portales de terceros, la información que obtenga BRANDME de los mismos podrá también depender de la configuración de privacidad que dichas personas hayan establecido con el servicio de redes sociales.

El Sitio Web de BRANDME podría contener links a páginas web de compañías y entidades de terceros, por lo anterior, se aclara que BRANDME no puede hacerse responsable de la forma en la que estas compañías tratan la protección de la privacidad y de los datos personales, por lo que se aconseja a EL USUARIO a que lea detenidamente las declaraciones, aviso y políticas de privacidad de éstas páginas web que no son propiedad de BRANDME, con relación al uso, procesamiento y protección de datos personales. Las condiciones que ofrecen éstas páginas web pueden no ser las mismas que las que ofrece BRANDME.

V. REVOCACIÓN DEL CONSENTIMIENTO DEL TRATAMIENTO DE LOS DATOS PERSONALES

En todo momento EL USUARIO deberá notificar de forma fehaciente los avisos de revocación del consentimiento para el tratamiento de sus datos personales a efecto de suspender o eliminar dichos datos de las bases dentro de EL SISTEMA y del SITIO WEB. La falta de estos avisos, libera a BRANDME de toda responsabilidad.

Una vez notificado BRANDME sobre la revocación de los datos, deberá eliminar de sus bases de datos de EL SISTEMA, toda información relacionada en un plazo máximo de 20 veinte días hábiles. Para ello, será necesario la cancelación del servicio BRANDME, ya que de otra forma esta cancelación no será posible.

VI. PROCEDIMIENTO PARA EJERCITAR EL DERECHO DE ACCESO, RECTIFICACIÓN, CANCELACIÓN U OPOSICIÓN (ARCO) DE SUS DATOS PERSONALES

BRANDME deberá atender toda solicitud del USUARIO respecto al acceso, rectificación, cancelación u oposición de sus datos personales, siempre y cuando los mismos se notifiquen en términos de este aviso a BRANDME, quien deberá proporcionar o modificar la información respectiva en un plazo no mayor a 20 veinte días hábiles. La falta de estos avisos, libera a BRANDME de toda responsabilidad.

Para poder procesar cualquiera de estas peticiones, estas deberán incluir todos y cada uno de los requisitos previstos en el artículo 29 de la Ley Federal de Protección de Datos Personales en Posesión de los Particulares.

Así mismo, BRANDME hace del conocimiento de EL USUARIO que los plazos de conservación de los datos personales en su base de datos será de 10 años.

Una vez transcurrido este plazo, y en caso de que se haya cumplido la finalidad del tratamiento de los datos personales, se procederá a la cancelación de los mismos, para su posterior supresión de la base de datos.

VII. TRANSFERENCIA DE DATOS PERSONALES

EL USUARIO autoriza que BRANDME transfiera de acuerdo con el artículo 36 de la Ley, su dirección postal y de correo electrónico, la cual será utilizada para enviarle, por carta, teléfono, correo electrónico, SMS/MMS, o por otros medios de comunicación electrónica equivalentes, a través nuestro o de otras entidades; publicidad y ofertas propias, de los Anunciantes o de terceros con los que establezca acuerdos BRANDME.

Al aceptar la presente política de privacidad, el Usuario otorga su consentimiento expreso a que BRANDME pueda transferir datos postales y de correo electrónico exclusivamente para recibir información promocional. No obstante, EL USUARIO en cualquier momento podrá revocar el consentimiento, en cada comunicado comercial o publicitario que se le haga llegar, y en cualquier momento, derecho que podrá hacer valer a través del Área de Privacidad encargada de la seguridad de datos personales en el Teléfono 1209 13 69, o por medio de su correo electrónico: [email protected], o a través de EL SISTEMA en la sección de “Contacto” de su cuenta de USUARIO.

Salvo el caso establecido en el párrafo anterior, BRANDME se compromete a no transferir por ningún medio la información contenida dentro de sus bases de datos, salvo por instrucciones directas y precisas al respecto que se le giren por el USUARIO, o en caso de recibir alguna orden de autoridad competente, que funde y motive la causa legal del actuar, en cuyo caso se brindará la información solicitada de sus bases de datos.

VIII. MEDIDAS DE SEGURIDAD

BRANDME garantiza que tiene y mantiene de conformidad por lo señalado en el artículo 19 de la Ley, todas las medidas de seguridad administrativas, técnicas y físicas que buscan proteger los datos personales contra daño, perdida, alteración, destrucción o el uso, acceso o tratamiento no autorizado. Asimismo garantiza que no adoptaran medidas de seguridad menores a aquellas que mantengan para el manejo de su información. Sin embargo se hace saber a EL USUARIO que existen muchos riesgos dentro del Internet que pueden estar fuera del control de BRANDME, y que en esos casos no será responsable por un quebranto que se realice de sus bases de datos, ya que los riesgos a la seguridad en Internet no pueden erradicarse por completo. BRANDME se compromete a cumplir con el deber de secreto y confidencialidad respecto de los datos personales contenidos en el fichero automatizado de acuerdo con la legislación aplicable, así como a conferirles un tratamiento seguro en las cesiones que, en su caso, puedan producirse.

IX. MODIFICACIÓN AL AVISO DE PRIVACIDAD

BRANDME se reserva el derecho de modificar, en términos del artículo 18 de la Ley, en cualquier momento, el presente Aviso de Privacidad, mismo que le será dado a conocer por escrito a EL USUARIO a través de los medios de notificación contenidos dentro de los términos y condiciones de uso de la plataforma y la aplicación BRANDME. Por tanto, BRANDME no será responsable en el caso de que usted no reciba la referida notificación de cambio en el Aviso de Privacidad si existiere algún problema con su cuenta de correo electrónico o de transmisión de datos por Internet. Sin embargo, por su seguridad, el Aviso de Privacidad vigente estará disponible en todo momento en la página web: http://www.brandme.la.

Todo aviso, pregunta o notificación relacionado con este aviso de privacidad debe ser enviada a BRANDME a través de la cuenta [email protected]

Una vez notificados dichos cambios al aviso de privacidad sin que se manifieste oposición al mismo, se entenderá que se consienten tácitamente las modificaciones al presente aviso.

Este aviso de privacidad cumple con los requisitos establecidos en la Ley Federal de Protección de Datos Personales en Posesión.
